Duties Employee 's duties shall include, but not be limited to those listed in the following subparagraphs and as determined by the Board of Directors of the Company. A. Security Officer. When operating as a security officer, Employee shall perform the following and related duties: assist in the overall security of the client of Company; provide assistance in the processing, granting and documentation of security clearances and requests for access; assist in inspections and security coordination visits including the preparation of written reports; and become informed of and comply with all orders, directives, and instructions relating to force protection, and the health and safety of client’s personnel. B. Investigator. When operating as an investigator, Employee shall perform the following and related duties: p reform background investigations relating to the determination of suitability for employment of potential and/or newly hired employees of client; conduct investigations to verify educational qualifications, previous employment claims, references, and allegations involving character and suitability of applicants for employment with client; conduct investigations pertaining to suspected fraudulent actions committed against client; investigate threats, security incidents, and/or crimes committed against client and client’s employees; conduct detailed investigations regarding theft of property of client, allegations of malfeasance and other irregularities against the interests of client, and assist with special investigative tasks in conjunction with the local law enforcement officials; and maintain accurate and detailed reports of such investigations. C. Personal Protection Officer. When operating as a Personal Protection Officer, Employee shall perform the following and related duties: conduct threat analysis, advance preparation and planning, surveillance, counter-surveillance, and countermeasure sweeps; perform emergency first aid for employees of client when necessary; coordinate residential and travel security; engage in defensive techniques, emergency driving, explosive detection and recognition; develop security systems and policies for client; development workplace violence prevention and security response programs, and investigate security threats and workplace violence issues. D. Overseas Force Protection Officer. When operating as an Overseas Force Protection Officer, Employee shall perform the following and related duties: patrol and protect client’s property, personnel and essential operational resources; carry semi-automatic and personal protection weapons; work in cooperation with military security personnel to maintain order and discipline; protect mission essential and non-essential resources or property, respond to potential or hostile threats from armed or unarmed groups or individuals; interpret and apply regulations to enforcement situations, analyze situational information to draw conclusions and take appropriate action based on the information; determine the conditions under which to use firearms or other force procedures to remedy an immediate danger; secure property and resources against overt and covert attacks from armed or unarmed individuals, terrorist groups, vandalism and theft; initiate appropriate action based on regulations and the situation; inspect property, facilities, munitions storage, and equipment for suspicious or irregular conditions; challenge and apprehend suspects in accordance with state and federal regulations, policies and procedures; detain individuals until the transfer of custody to civilian law enforcement officials; search individuals, vehicles, equipment and other property coming into restricted areas; patrol roadways; participate in disaster preparedness drills and functions; i dentify hazardous or unsafe areas; respond to hazardous spills and secure areas in support of fire personnel; provide an armed response in the event of a hostage situation; evacuate buildings; implement control procedures in event of hijacking threat; maintain event log of pertinent activities including date and time, known persons involved and names of any witnesses; prepare written reports of incidents and submit report to supervisor at end of shift, and report unusual occurrences while on duty. NOTE: The duties listed above are not meant to be inclusive and are characteristic of the type and level of work associated with each employee’s class. Individual positions may do all or some combination of the duties listed above or other related duties. 6. Extent of Services Employee shall devote his entire time, attention, and energies to the business of the Company , and shall not during the term of this Agreement be engaged in any other business activity, whether or not such business activity is pursued for gain, profit, or other pecuniary advantage, without the prior written consent of the Company first obtained; but this shall not be construed as preventing the Employee from investing, when such investment will not interfere with the Employee 's full-time employment by the Company . 7. Covenant Not to Compete During the period Employee is under contract with Company, and for a period of ____ year(s) after termination of said contract, Employee will not directly or indirectly: A. Recruit, solicit, induce, or attempt to induce any of the employees or customers of the Company to terminate their employment or contractual relationship with Company. B. Solicit, divert, take away, or attempt to divert or take away, from the Company any of its business or the patronage of its customers, clients, accounts, vendors or suppliers for products, sold, distributed or processed by the Company, and Employee shall not assist any other person to do so. C. If any restriction set forth in this Section 7 is found by any court of competent jurisdiction to be unenforceable because it extends for too long a period of time or over too great a range of activities or in too broad a geographic area, it shall be interpreted to extend only over the maximum period of time, range of activities or geographic area as to which it may be enforceable. D. The restrictions contained in this Section 7 are necessary for the protection of the business and goodwill of the Company and are considered by Employee to be reasonable for such purpose. Employee agrees that any breach of this Section 7 will cause the Company substantial and irrevocable damage and therefore, in the event of any such breach, in addition to such other remedies which may be available, the Company shall have the right to seek specific performance and injunctive relief. 8. Confidentiality. Contractor and Employer both acknowledge that all information and materials furnished from the Employer concerning this Agreement and the performance of it is confidential and may not be used for any purpose other than in connection with this Agreement. 9. Severability The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. If any provision of this Agreement is held to be invalid, the parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed by both parties subsequent to the expungement of the invalid provision. 10. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 11.
