2.03b Example 2: Provision Dealing with Changes in Share Ownership of Corporations and Changes in Share Ownership of Partnership Example of lease deeming it to be an unpermitted assignment for partners to have a change in their share of partnership ownership and thus a default under the lease. This change in ownership is usually couched in those provisions dealing with changes in share ownerships of corporations. Tenant, for itself, its heirs, distributees, executors, administrators, legal representatives, successors and assigns, covenants that, without the prior consent of Owner in each instance it shall not (i) assign whether by merger, consolidation or otherwise; or (ii) mortgage or encumber its interestin this Lease, in whole or in part; or (iii) sublet or permit the subletting of the Demised Premises or any part thereof; or (iv) permit the Demised Premises or any part thereof to be occupied or used for desk space, mailing privileges or otherwise by any person other than Tenant. The sale, pledge, transfer or other alienation of (a) any of the issued and outstanding capital stock or any corporate Tenant (unless such stock is publicly traded on a recognized security exchange or over the counter market) or (b) any interest in any partnership or joint venture Tenant, however accomplished, during a single transaction or in a series of and/or related transactions, shall be deemed for the purposes of this article as an assignment of this Lease which shall require the prior consent of Owner in each instance.
