A. Assignor warrants that: 1. The Security Agreement was executed in connection with the sale to the purchaser of the property referred to in that Agreement. 2. The property referred to the Security Agreement has been delivered by Assignor to and accepted by the purchaser. 3. The property referred to in such Security Agreement is free from all liens and encumbrances, except the security interest pursuant to the assigned Security Agreement. 4. The Security Agreement is genuine in all respects. 6. There are no offsets, counterclaims, or other defenses to the Security Agreement, to Assignor's knowledge. 7. Assignor agrees that Assignee shall not assume any obligations or liabilities to the purchaser of the property referred to in this Assignment, other than those set forth in this Assignment.
