13.06 Due Diligence Questions; Information Technology Due Diligence Questions Information Technology ("IT") For each facility (as applicable), please answer the following questions: 1. IT MODEL: Is this facility a stand-alone facility or is it tied into a corporate network? What functions/applications are accessed/supported at the corporate level? 2. IT PERSONNEL: What is the number of IT personnel employed at this location (including job titles and open positions)? What is their reporting structure? What is their general level of responsibilities? (i.e., Do they support just the general IT infrastructure or do they support manufacturing equipment as well?) 3. PHONE/VOICEMAIL SYSTEMS: What phone/voicemail system is in place? Provide a detailed asset list of all telephone equipment included in this divestiture. What is the expandability of the phone system? What are the quantity and type of circuits? Who are the carriers and Internet service providers ("ISPs")? What voicemail system is used, including operating system and version? What is the quantity of phones deployed and in service? How many cell phones are there? Who are the providers? 4. E-MAIL: What is the e-mail system (include vendor, version, host platform, and method of deployment)? What is the domain name (i.e., @companyabc.com)? How are e-mail accounts structured (i.e., firstname.lastname@companyabc.com)? How many e-mail accounts currently exist? 5. LOCAL AREA NETWORK/WIDE-AREA NETWORK ("LAN/WAN"): What is the LAN/WAN equipment at this location (including make, model number, and utilization/capacity)? What types of servers and operating systems are deployed? What network protocols are in use? (Need a graphical drawing of the LAN/WAN.) This drawing should describe interconnects in details. The interconnections will need to show, for example, if they are 10BaseT or Fiber. 6. PCs/WORKSTATIONS/LAPTOPS: Provide summary information concerning the quantity and properties of PCs, workstations, and laptops at this location (include manufacturer, model #, serial #, owned or leased, OS & version, memory in MB, disk size in GB, CPU in MHz, networked, monitor size). 7. INTERNET ACCESS: What provider is used? What is the monthly cost? How many users have Internet access? 8. ENTERPRISE RESOURCE PLANNING ("ERP") SYSTEM: What is the main ERP system used at this facility (including supplier, version, number of users and host platform)? Provide a definition of what information is included in the database as it stands today (i.e., number of: users, part numbers, bill of materials, routings, etc.). 9. REMOTE ACCESS: Are there any employees with remote access to the company infrastructure for e-mail purposes, etc.? How many employees have this access? What software/service is used? What functions do the employees use this access for? 10. SOFTWARE: What software packages are used for the enterprise (accounting, manufacturing, design, office). What is the manner in which this software is licensed and deployed (local or shared)? Is it owned or leased? 11. ELECTRONIC DATA INTERCHANGE ("EDI"): Are there any EDI capabilities currently being utilized? What is the software package (include version, licensing, and support information)? Indicate which standards are being followed (such as ANSI or EDIFACT). Who are the vendors/customers involved? What information is transmitted and what is the manner in which it is transmitted? 12. MISCELLANEOUS EQUIPMENT: List all equipment that does not fall under any specific category. (Examples of such equipment include printers, manufacturing equipment, plotters, FAX machines and copiers.) Include for each piece of equipment the following information: Device type, manufacturer, model #, serial #, operating system ("OS") and version. 13. TIME AND ATTENDANCE SYSTEMS: Please provide a complete description of the facility's time and attendance system. The hardware and software may be listed in response to other items on this list, but more detailed information on the functionality of such systems should be provide here. Such detailed information should include the name of the application and the types of readers used and whether the readers are integrated into the ERP system. 14. FILE TRANSFER PROTOCOL ("FTP") CAPABILITY: Provide information concerning the capabilities and procedures employed to accomplish FTP. Include the FTP site name and the means of accessing it. 15. PROCEDURES/AGREEMENTS: If applicable, procedures and agreements for the following are requested:* Employee technology use agreement (E-mail, Internet, security) * Disaster recovery plan * Third-party support agreements (are they assumable?)
