Now, therefore, for and in consideration, of the matters described above, and of the mutual benefits and obligations set forth in this Agreement, the parties agree as follows: 1. Loan. Receipts from Sales. As advances of funds are made, Inventor will, at the option of Promoter, secure them by promissory notes or by the deposit of contracts for the sale of the device. Any and all funds or receipts derived from the sale of the device, or from the sale of territorial rights, shall be collected by Promoter. Promoter shall have the right to retain any and all funds collected on the contract and to apply them in repayment of any sums advanced. 4. Management. Inventor shall retain full control of the management and operation of the business. 5. Best Efforts. Both Inventor and Promoter agree to lend their best efforts to exploit and promote the sale and distribution of the device; however, Promoter shall not be required to render services other than those set forth above.
