Contract or Agreement for the Sale of a Puppy or Dog Agreement made on the _____ day of _______________, 20_____, between _______________________ (Name of Seller) of ____________________________________ ____________________________________ (street address, city, county, state, zip code) , referred to herein as Seller and ________________________ (Name of Buyer) of __________ ______________________________________________________________ (street address, city, county, state, zip code) , referred to herein as Buyer. For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. Sale of Animal Seller agrees to sell and Buyer agrees to buy a (describe dog or puppy) ___________ ___________________________________________________, hereafter referred to as Dog. II. Warranties Seller warrants that he is the owner of and has good and lawful authority to sell the Dog, III. Sales Price The sales price is $___________ payable in cash on or before the ____ day of _____________, 20______. IV. Inspection Buyer acknowledges that his designated veterinarian has examined the Dog and that Buyer is satisfied that the Dog is in a healthy and sound condition. V. Bill of Sale By this instrument, Seller sells, assigns, and conveys all of his rights, title and interest in the Dog , reserving for himself a purchase money security interest as set forth in Section VI of this Agreement. VI. Security Interest Buyer acknowledges that by this Agreement, Seller retains a security interest in his favor in the Dog under the provisions of Article 9 of the Uniform Commercial Code of the State of __________________. This security interest will be cancelled upon receipt by Seller of the full purchase price set forth in Paragraph III. VII. Breeding Capacity not Warranted Seller does not warrant the health, soundness, working qualities, or recovery from shipping cold, and Seller does not warrant against impotency of the Dog. VIII. Risk of Loss The risk of loss from any casualty to the Dog, regardless of the cause of such loss or casualty, shall be on Buyer after the Dog has been delivered to Buyer. IX. No Liability by Seller for Incidental or Consequential Damages In no event shall Seller be liable for incidental or consequential damages nor shall Seller's liability for any claims or damage arising out of or connected with this Agreement exceed the purchase price of the Dog. X. NoticeAny requirements of reasonable notice of any party to the other shall be met if such notice is mailed, postage prepaid, to the last known address of the parties at least (e.g., 10) _______ days before the time of the event or contemplated action set forth in such notice. XI. Breach of Agreement A. In the event of breach of this Agreement, Buyer agrees to pay all expenses of retaking, holding, preparing for sale, selling, and reasonable attorney's fees and legal expenses as may be allowed by law and incurred by the Seller in enforcing his rights under this Agreement. B. The rights and remedies conveyed upon Seller shall be in addition to and not in substitution of or in derogation of the rights and remedies conferred by the Uniform Commercial Code of the State of _______________ and other applicable laws. XII. Mandatory Arbitration Notwithstanding the foregoing, and anything herein to the contrary notwithstanding, any dispute under this agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. XIII. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _______________. XIV. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. XV. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party.
