INGRESS AND EGRESS AND UNDERGROUND UTILITY EASEMENT WHEREAS, by Exchange Instrument dated September 9, 1997, and filed for record on September 12, 1997, in the office of the Chancery Clerk of Rankin County, Mississippi, in Book *** beginning at Page *** thereof which instrument is sometimes hereinafter referred to as the "Exchange Instrument,” ***, a Mississippi limited liability company conveyed to ***, a Louisiana corporation, an easement for ingress and egress and underground utilities in, upon, over and across that certain fifteen (15) feet wide strip of land located along the centerline described on Exhibit W attached hereto (and also identified and described on page 3 of mid Exchange Instrument), which ingress and egress and underground utility easement is appurtenant to the easement for an outdoor advertising structure conveyed in said Exchange Instrument by said *** to said ***, to wit; and WHEREAS, in said Exchange Instrument *** specifically reserved the unilateral option to change the location or route of said fifteen foot wide strip of land to said easement rights ingress and egress and underground utilities provided the location or route to which the pertinent ingress and egress is moved is substantially the same or better than the location or route described on page 3 of said Exchange Instrument and provided that the location of route to which said ingress and egress is moved always leads from a public street to the 2.8 square foot parcel of land which is subjected in said Exchange Instrument to said easement for an outdoor advertising structure; and WHEREAS, *** desires to exercise its option to change the location or route of said fifteen foot wide strip of land subject to said ingress and egress and underground utility easement to the location or route described in Exhibit “B” attached hereto and warrants that the location or route described in Exhibit “B" hereto leads from a public street, *** to the 2,802 square foot parcel of land subject to said easement for an outdoor advertising structure; and WHEREAS, *** desires to accept on this date the location or route described in Exhibit “B” hereto, desires to acknowledge that the location or route described in Exhibit "B” hereto is substantially the same or better than the location or route described on page 3 of said Exchange Instrument and desires to release and abandon all of its right title and interest in and to said fifteen foot wide parcel of land described on page 3 of said Exchange Instrument being the same as the parcel of land described in Exhibit “W” hereto; and WHEREAS, ***, a Georgia limited liability company, is purchasing the 2.5 square feet parcel of land subject to said easement for an outdoor advertising structure and is also purchasing the parcel of land described in Exhibit “B" hereto in, upon, over and across which said ingress and egress and underground utility easement is herein being changed or made and by execution hereof acknowledges such change or move and an easement for ingress and egress and underground utilities will exist on property it is purchasing. NOW, THEREFORE, for and in consideration of Ten and no/100ths dollars ($10.00), cash in hand paid and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, ***, a Mississippi limited liability company, and ***, a Georgia limited liability company, do hereby sell, quitclaim and convey to ***, a corporation, the right of ingress and egress in, upon, over and across the parcel of land described in Exhibit “*” attached hereto and hereby made a part hereof such right of ingress and egress to be non-exclusive and for the sole purposes of providing ***, and its successors and assigns, and egress to and that certain 2.6 foot parcel of land described in Exhibit hereto, such right of ingress and egress to be exercised as and when *** deems such ingress and egress for the reasonable and proper exercise of its easement rights tor an outdoor structure conveyed by ***, to said *** in that certain Exchange Instrument dated September 9, 1997, and filed for record on September 12, 1997, in the office of the Chancery Clerk of Rankin County, MS in Book *** beginning at Page *** thereof reference to which is he made for all purposes.*** and *** do hereby acknowledge, covenant and agree that with respect to the right of ingress and egress herein conveyed. 1. Such right shall run with and in all respects be appurtenant to the easement rights conveyed for an outdoor advertising structure in said Exchange Instrument. 2. Such right shall include the right to locate, ***, repair, improve, maintain and operate, within the above described fifteen foot wide strip of land, underground or buried telecommunications and electrical facilities serving said outdoor advertising structure, provided that the installation, repair, maintenance or replacement of said facilities will first be coordi nated with *** or its successors and assigns to the fee of said fifteen foot wide strip of land. *** agrees to *** three and one-half (3 1/2) feet below ground surface a dume (3) inch diameter, Schedule 80 PVC electrical conduit hon the northwest comer of its property to the 2,502 square foot parcel of land described in Exhibit "C" hereto and in consideration of such installation ***, agrees to ensure that all telecommunication and electrical facilities serving said outdoor advertising structure are installed through said conduit and further agrees not to disturb any ground surfaces or pavements without the express consent of ***, or its successors and assigns. 3. Such right shall be subject to the unilateral option of ***, or the successors or assigns of either of *** to all or any part of the fee of the fifteen foot wide strip of land described in Exhibit “*” hereto, to change the location or route of said ingress and egress strip of land provided the location or mute to which said ingress and egress is moved shall be substantially the same or better than the route or location hereinabove described and always leads from a public street to the 2.5 square foot piece of land described in Exhibit “C” hereto. To exercise such option to move the location or route of this ingress and egress, the owner of the fee of said *** foot wide strip of land shall be required to give thirty (30) days written notice to ***. *** for itself and its successors and assigns to the fee of the fifteen foot wide strip of land described in Exhibit "B” hereto, does hereby agree to permit *** its employees, agents, contractors and successors and assigns, to use from time to time during normal business hours, for vehicular access to ***’s outdoor advertising structure, the pavements within driveways on ***’s adjoining property provided the use of said *** does not damage the structural integrity of the pavements thereon unreasonably interfere with the use of said driveways by the customers, employees, suppliers, agents, and officers of ***, or its successors and assigns.
