California Signing Agent Agreement Agreement made on the ________________________ (date) , between _________________________________ (Name of Signing Agent) , of ___________________ ____________________________________________________________________________ (street address, city, county, state, zip code) , hereinafter called Signing Agent , and _______________________________________ (Name of Company) , a corporation organized and existing under the laws of the state of _______________________, with its principal office located at ____________________________________________________________________ ___________ (street address, city, county, state, zip code) , referred to herein as Company . For and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Term This Agreement shall become effective as of the above date and continue in full force and effect for a period of one calendar year or until one of the parties cancels the Agreement by giving fourteen days (14) written notice to the other party. Company reserves the right, at its discretion, to discontinue and/or disassociate any alliance, whether written or implied, with Signing Agent in order to protect its clients and/or its creditability in the market place. 2. Performance by Company Upon receiving a referral request for execution for services from Company, the Signing Agent will immediately implement procedure to retrieve documents, facilitate document execution, notarize signatures and return completed and signed documents as required by Company and/or its clients. 3. Signing Agent Fees Fee for each assignment shall be determined in accordance with Exhibit A attached hereto and made a part hereof. Payment of fees to Signing Agent shall be made within _____ days of completion and return of all documentation as requested. 4. Status of Signing Agent The parties herewith acknowledge that the Signing Agent is an independent contractor and not an employee of Company and/or its clients. Furthermore, the Signing Agent shall be solely liable and responsible for any dereliction of duty to Company and/or its clients, as well as for any improper, unlawful, or unauthorized act of Signing Agent. 5. Non-Solicitation Due to extensive time and money expended by Company in building a client data base, and in earning the trust and respect of its clients and their privacy, solicitation of its clients for contacts or vendors is strictly prohibited. Signing Agent agrees not to solicit, directly and/or indirectly, said clients or vendors while this Agreement is in force and after dissolution for a period of one (1) year. 6. Proprietary Rights The parties hereupon acknowledge that, in the Signing Agent's performance of this Agreement, the Signing Agent will sometimes obtain information of a confidential, and /or secret nature. In addition, the Signing Agent may obtain confidential and private information concerning customers, clients, vendors and privileged others. All such confidential and privileged information learned by Signing Agent in the course of her duties shall be kept secret and confidential in a professional manner. This applies both during the term of this Agreement and for a period of ______ years thereafter. 7. Payment of Taxes State, federal and local tax obligations for services and fees rendered shall be the sole responsibility of the Signing Agent . 8. Equipment and Transportation Signing Agent shall supply and provide all of her own office equipment, location, and/or other physical items as pertinent and needed for Signing Agent to comply with this Agreement, including transportation. As required by state law, Signing Agent agrees to maintain a proper and adequate policy of transportation and equipment insurance. 9. Appearance Signing Agent and Associates will appear in professional attire, maintain an exemplary attitude and be alcohol free. 10 Liability Insurance Signing Agent shall comply with all local and state requirements concerning licenses, both professional and as to her locations, holding her clients harmless from any claims arising from any negligent act, omission, or dereliction of duty and responsibility committed by Signing Agent. Signing Agent shall also provide proper insurances for any assistants of Signing Agent deemed necessary in the performances of this Agreement. 11. Transportation Insurance Signing Agent shall provide adequate transportation insurance and maintain safe vehicle transportation at all times, assuming all responsibilities for such. 12. Opinions Signing Agent and/or assistants shall at no time render, give suggest, or indicate any legal opinions and/or advice that might influence signer or others in any way. This pertains to legal or loan documents, funding process, escrow, funders and/or borrowers. If legal advice or assistance is requested by a document signer, Signing Agent shall refer signer or party to signer or party's own legal counsel or attorney. 13. Warranties and Performances Signing Agent shall provide and maintain any and all licenses necessary to perform and exercise the duties and responsibilities of this Agreement. Signing Agent recognizes the need for a timely performance of services that is essential to the proper and efficient service of clients. Signing Agent warrants her commitment to perform such services in a timely and efficient manner and shall not accept an assignment without full commitment of her resources and time to the applicable clients. 14. Drafting the Agreement For purposes of construction and/or interpretation, both the Signing Agent and Company shall be deemed to be drafters of this Agreement and its provisions. This Agreement should not be construed as a promise of employment, or indication thereof. 15. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of California. 16. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 17. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 18. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 19. Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
