Independent Contractor Agreement Between Escort Agency and Escort Agreement made on the _________________ (date), between ____________________ (Name of Escort) of ___________________________________________________________ _______________ (street address, city, county, state, zip code), referred to herein as Escort, and __________________________ (Name of Escort Agency), a corporation organized and existing under the laws of the state of ______________, with its principal office located at ____________________________________________________________________ __________ (street address, city, county, state, zip code), referred to herein as Agency. Whereas, Agency owns and operates an Escort Referral Business at the address set forth above, and Agency desires to contract with Escort to perform the hereinafter described services on behalf of Agency; Whereas, Escort agrees to perform these services for Agency under the terms and conditions set forth in this Agreement. Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Description of Work. The work to be performed by Escort includes the following: A. Escorting female clients to dinner dates, functions and parties; B. Notification of Changes. Agent's authorization . Under an agency written agreement for the performance of an escort service, an agent or its designees may perform the escort services if (number of such agents) has signed this agreement with escort. 5. Agency agreement . This agreement sets forth the terms and conditions on which the agreement exists, and the amount of the consideration provided for escort by escort and agency. Any new agents or designees may be authorized in such an agency agreement upon written notice from escort. 6. Agreement to submit agreement to state attorney when completed. If escort is required to submit to the state attorney's office a copy of this agreement prior to the start date, escort will do so without undue delay. 7. Agent's liability . Escort and escort's agents agree to indemnify and hold each other harmless, and neither agent nor escort will be held liable to the other without its consent. 8. Agency's liability . Escort and escort's agents agree to mutually make all arrangements (financial, accounting, insurance, etc.) necessary to protect themselves and the agency from any loss, liability, legal action or cost of any nature, to protect the agency from damage, and to prevent any violation of this agreement. 9. Agency's liability . The agency also agrees to indemnify each escort who is under an agency agreement from all claims, liabilities and expenses (i) from an escort who has been provided employment by the bureau and (iii) from any agency or any agent of an agency. 10. Agent's payment for services . Escort may accept the payment of (number of days' work) by agency up to the actual start date of the agreement. 11. Agent's payment for service. Escort may accept (number of days' service) by agency up to the actual start date of the agreement. 12. Service of escort fees. Each agent shall pay escort fees for services performed pursuant to a specified date (date) if escort signs an agreement to complete the work as set forth in the agreement. 13. Agreement may be terminated for cause. No cause of action or cause of action may exist for breach of this agreement except that: a.
