Is 8% and no salary fair to the only backend guy in a startup?
The founder and cofounder are taking the biggest risks since they will have to make investments. And as long as the start-up doesn't make any profit, then 8% of nothing is still nothing.I would not take the offer, unless there's an additional, financial compensation. However, what you can agree upon is that you create the back-end and that you will provide them just a license to use it for 8% of the shares. Thus, if they fail, that code is still yours and not theirs. It also means that they can't get rid of you without replacing your back-end with something else. And you won't have to share...

Is it necessary to have hard-copies of signed documents for legal and financial purposes?
Necessary? No. A good idea? Yes, unfortunately. There's this little tiny part of evidence law known as the "best evidence" rule - which basically holds that the "best" evidence available will be admitted in court, if there is dispute as to the authenticity of copies that are presented at trial. What this means for the digital world is basically that they guy with a printed form with original signatures on it is going to trump your electronic copy of the same. Now, if there is no physical original with signatures, then there's no problem, but if there is any such copy out there, you should have an identical, originally-signed copy to produce for the court in the event of a challenge or legal issue related to the agreement.

What is the legal way to sign documents for a deceased person?
California View: There is no legal way to sign a document for a dead person. Powers of Attorney, even Durable Powers of Attorney do not survive death. While estate executors and administrators can sign documents on behalf of the decedent’s estate or a trustee for a decedent’s trust, they are signing for the estate or trust and not for the decedent. Say for example the executor endorses a check made out to the decedent. The check now belongs to the estate and the proceeds are deposited in a trust account established for the estate.

Why would Michael Cohen secretly record his conversations with Donald Trump?
Apparently NY is a state where you can record a conversation you have with someone else without getting that person’s consent. So, from a legal standpoint, Cohen appears to be okay in that regard, even if it is considered to be shady behavior from an ethical standpoint.I’m not a lawyer, but my work involves working with clients. Let me tell you a story that might help you understand why Cohen felt he needed to do this.I had a project with a client that I worked regularly with. This client is extremely difficult who never accepts responsibility for things that go wrong—they blame the contractor even for stuff that the contractor has no control over.On this particular project, the scope of the project called for an installation that was unusual and required some coordination. Knowing full well how this client rolls, I took careful notes as to exactly how that work was going to be done, the equipment that was agreed upon, and the sequence of the work. Those notes went into the scope of work, which had to be approved by the client’s representatives before work could be started. That scope of work was approved by the client.Months later, the client wanted to change the work—just as the final construction drawings were going out. I pulled up the scope of work that everyone had signed off on, and told the client that the change would result in a change order since we now had to go back and revise nearly all of the drawings. In addition to that, it would delay construction because obviously, we needed to reissue the drawings after correcting them. The client tried to not pay for the work and tried to blame us for not taking into account the proposed solution. I had notes to that effect as well—that indeed I HAD suggested that the work the client now wanted to do was work I had suggested they do at the time the scope of work was being hammered out since what they wanted to do was so complicated it didn’t make sense. The client rejected my suggestion because they thought my solution would have cost them more money than their complicated solution.Because I had taken careful notes and explicitly laid it out in the scope of work document that they had signed, the client knew at that point they were cornered—they had the signed off scope agreement, and they had my notes testifying that the work they wanted done had been suggested and rejected at the beginning of the project. Even they couldn’t find any way to blame us, and they are pretty creative at doing exactly that. So they agreed to issue the drawings as they were, and they would as-built the work in the field.Donald Trump is like this client.Anyone working with Trump surely knows they have to cover their ass. Cohen in particular, being Trump’s “fixer”, knows that Trump dabbles in questionable behavior, and that questionable behavior could bring him down as well—some of that stuff he’s done over the years he knows could put him in jail or result in his disbarrment if he ever got caught. He also knows Trump lies about everything, and he needed to have assurance that he’d never get blamed by Trump if anything went wrong. So, like me when I deal with this client, he kept records when dealing with Trump. For me, it was saving email and being careful with producing detailed documentation. For him, he simply taped everything. No difference. It’s what sane, intelligent people do when they knowingly engage with dishonest assholes who they know will throw them under the bus when things go bad. You keep records.

If a lost/abandoned animal was adopted (through a rescue group and with paperwork signed) and the previous owner comes forward a
I am in Michigan :)More info: Cat was found, thought it was lost or abandoned. A woman found her on her back porch and thought she was dumped there because she takes in a lot of strays and fosters animals and everyone in the neighborhood knows this. Two weeks ago she posted in a neighborhood site for my city that there was a cat missing and did anyone know who she belonged to. No one posted anything for about a week, and I said I would foster her if she found no one. She has multiple animals in the house including 3 big dogs and she was keen on the idea. We gave it one more week and no one came forward. The cat (as told to her by her vet) was very healthy, 2–4 years old, no front or back claws and neutered. She was the perfect cat, as I didn’t want a hyper kitten, nor a cat that would rip up my furniture. She was also a gorgeous black and white variety.Lady dropped her off at my house last week and she has been here for 10 days. Cat is completely comfortable and happy. She is the only animal in the house, and my daughter, age 14, loves her and has been waiting for a pet for a long time. Now today lady texts me that the woman owner came over last night and she lives three doors down from her. She didn’t know her at all. She ID’d the cat, because of the no claws. My lady told owner that she gave it to a rescue group and that she was adopted out. She yelled and berated her because she did not see the sign near her house! So she wants her back and I wonder if I have any legal leg to stand on. OH and the stupid vet was very very wrong, the cat is 13! WHAT THE HELL DO I DO NOW? The cat is perfect and we are attached. Not too thrilled with her age, and I am wondering IF THE VET LIED ABOUT HER PROPOSED AGE, AS TO ADOPT HER OUT FASTER :( I don’t think I would have gone to see a 13 year old cat.The vet is supposed to call me today, but I have not heard anything in hours. Can they just come and take the cat away? Will the adoption group just tell the woman she’s adopted? The other big issue is that the cat SHOULD NOT be outside because she has no claws. I had to agree to this when I signed papers. Now this woman lost her cat because she was outside. we have Coyotes here and many cats go missing often. She told my cat lady that her son let him out. I have no doubt the cat is better off with us.OY!
