so okay so in this video I'm going to talk about intellectual property assignment you know I get approached a lot by you know independent consultants who are doing a project or or in in general just consulting on a business side sometimes the cryptocurrency blockchain and sometimes it's just software consulting and one of the things that gets negotiated earlier on is intellectual property and intellectual property assignment and most clients would want ownership of intellectual property in most cases they're paying a lot of money they want to own the intellectual property but you know consultants are engaged in other projects they might be for example were you know involved in academia and I mentioned R&D here but essentially any sort of academic papers they may also want to maintain and retain some of the know-how because they can use it for other projects so when you're negotiating intellectual property assignment in most cases you'll have to assign the IP over to the customer to the client but you could and you should in most cases negotiate carve-outs there are different types of Carlos but the two key carve outs that I would try to negotiate is a broader cross license and what I mean by that is you know you've assigned the intellectual property over to the to the client and now the client is granted granting you a cross license it could be a limited cross license and there could be some user restrictions but you want to be able to negotiate those views restrictions primarily the rnd two for some of the work you were doing you're doing for example if you're writing white papers or if you're doing other academic research you want to be able to control you want to be able to use some of that content without you know if if needed without identifying the client and this is you know difficult in certain industries that are regulated for example where privacy and data protection is a concern in other industries and might not be a huge issue also you want to build a note you know our know-how system so over time you we want to have able to use some of that content to develop your own know-how so you could you could grow so you should definitely ask for a carve-out for a cross license or just a right to use that is that is more than just being able to cite the name of the client and the project you did which is which is the second point that that you should negotiate which is publicity rights the publicity rights essentially say that hey I did this project for this client and you know essentially a general description of the project now these probablistic rights will allow you to for example use the client's name in you know any proposals you send to other clients or customers use it on your website and also include them in your marketing material as well on the flip side though so most clients if you've done something for them that is you know crucial to the product or in general crucial to the company they may for example want to have control over and they want to be able to use your name and likeness in any investor documents there are certain risks for allowing the company to do that especially in industries where people are using these documents using your name and an investor document that will be for example sold you know to investors and that's where you know we've seen cases from SEC and state restored securities regulators coming after some the consultants as well from Arlene and then the blockchain and cryptocurrency industries so just make sure that you know you you have some control over the company's name companies use of your name or likeness in any investor documents or you know it you know at least if they require you to you know at least they may have you at least reviewed the documents so you know what is being said in your name so those are some of the key issues that I would look at and when it comes to intellectual property assignment there are other issues a lot of other issues that you have to negotiate and contractor agreement but I thought that these were a couple of key things to consider when you are negotiating intellectual property assignment
