okay what is the partnership agreement well as we previously discussed in other videos an atwi partnership generally arises by the conduct of the parties and there's not a great deal of advanced Planning by the parties um such as an agreement between them allocating different rights roles responsibilities within the partnership but um sometimes Partnerships are planned activities uh whereby the partners enter into an agreement among the partners uh regarding how the partnership is going to be organize um the structure the management decisions uh the allocation of control the uh allocation of an ownership interest the allocation of um any profits or losses coming from the business entity and then uh may even make um some form of changes or modifications to uh the duties inherent between the partners in the partnership itself so uh a partnership agreement is basically the Govern governing document for the organization and structure uh of the partnership you could you could compare it in many ways to the bylaws of a corporation uh but in many cases it it goes further than the bylaws and actually uh contains aspects that would typically be contained in say the Articles of Incorporation for a corporation so uh the um partnership agreement could have any number of Provisions but the primary structure of the of the partnership how it's How uh its losses and uh profits are allocated among the partners and then the allocation of control rights or authority are the primary um things dealt with in the partnership agreement and then uh voting rights and things like that for the addition of new members removal of a member major decisions things like that are also generally addressed in the partnership agreement
