Prospective Assignee will assume all rights, duties, and liabilities of the Lease Agreement to be performed by Prospective Assignor, including the duty to pay all rental and other charges required under the provisions of the Lease Agreement. Prospective assignee will hold Prospective Assignor harmless from any damages or expenses incurred by Prospective Assignor after the effective date of this Assignment under the Lease Agreement provisions. 5. If Prospective Assignee should decide to surrender the Lease Agreement to Lessor during its term, Prospective Assignee shall advise Prospective Assignor of that determination and intention prior to any surrender in order that Prospective Assignor may, if desired, assume the Lease Agreement for the remainder of its term. Prospective Assignor will notify Prospective assignee of the intention to take over the Property or the refusal to do so. On refusal by Prospective Assignor, Prospective Assignee may proceed to surrender the Property.
