AGREEMENT FOR CONSULTING SERVICES THIS AGREEMENT FOR CONSULTING SERVICES made effective the ______ day of ______, ______, by and between _____________________ . (hereinafter called "Consultant"), and _____________________ , a ___________ General Partnership (hereinafter called "the Firm" ); W I T N E S S E T H: WHEREAS, the Firm is in the business of providing accounting, tax and management advisory services throughout the United States; and WHEREAS, the Firm wishes to contract with Consultant for the services of Consultant in the field of accounting, tax and management advisory services; and WHEREAS, Consultant is willing and qualified to perform such services; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: 1. Beginning on the effective date stated above, Consultant shall act as a Consultant to the Firm in the capacity of a Certified Public Accountant and shall respond to reasonable requests from the Firm for advice and consultation regarding preparation of tax returns, tax return reviews, performing quality and peer reviews, and related matters in connection with the Firm's public accounting, tax and management advisory practice . 2. For Consultant's services under and pursuant to this Agreement, Consultant shall be paid compensation at the rate of ______ Dollars ($ _____) per billable hour of work which Consultant does on behalf of the firm plus ______________ Dollars ($______) per month as a Consultant's Fee, said compensation to be paid on or before the 10th day of the month following the month in which such services were rendered. 3. The Firm will reimburse consultant in accordance with the Firm's policies in effect from time to time for traveling and other expenses reasonably incurred by Consultant in the performance of his duties and responsibilities under and pursuant to this Agreement. 4. In addition to the foregoing compensation, Consultant shall be paid a sum equal to Ten Percent (10%) of the first year's fees collected from any new clients of the Firm which Consultant develops, said sum to be paid to Consultant on or before the 15th day of January of each year . 5. In performing the consulting services herein specified, Consultant is acting as an independent contractor and is not to be considered an employee of the Firm and shall not be entitled to any of the benefits that the Firm provides for its employees such as health insurance coverage or participation in the Firm's profit sharing plan. It is further understood that Consultant is free to contract for similar services to be performed for other public accounting firms while he is under contract with the Firm. Consultant may independently engage in the practice of public accountancy in any capacity, except that Consultant may not represent any of the clients of the Firm other than pursuant to this Agreement. 6. Since Consultant is an independent contractor, Consultant shall be responsible for payment of all federal, state and social security taxes, and said Firm shall not be responsible for paying or withholding any of same. 7.Consultant agrees to provide himself with an automobile suitable for performing his services to the Firm required hereunder, and further agrees to carry automobile liability insurance with an insurance company satisfactory to the Firm with a minimum coverage of $___________ for injuries to any one person and $__________ for injuries to more than one person, and $________ property damage. 8. Either party may cancel this Agreement on thirty (30) days' written notice; otherwise, this Agreement shall remain in full force for a term of one (1) year from date hereof. This Agreement shall be renewed automatically for succeeding periods of one year each on the same terms and conditions as herein contained unless either the Consultant or the Firm shall, at least thirty (30) days prior to expiration of any period, give written notice of his or its termination not to renew this Agreement. In addition to other provisions herein contained, this Agreement is automatically terminated in the event of Consultant's death or upon the disqualification of Consultant to practice accountancy in the State of __________. 9. Consultant shall observe and conform to all the laws and ethics of the accountancy profession, and refrain from disclosing, except to the Firm, any professional secrets or information with respect to the Firm or its clients or affairs. 10. This Agreement shall be governed by the laws of the State of ___________ and shall be construed in accordance therewith. 11. This Agreement shall not be modified or amended except by a further written document signed by Consultant and the Firm. No provision hereof may be waived except by an agreement in writing signed by the waiving party. A waiver of any terms or provisions shall not be construed as a waiver of any other term or provision. 12. Any notice required or permitted to be given under this Agreement shall be sufficient if in writing, and if sent by certified mail to Consultant's residence, in case of notice to Consultant, or to the principal office of the Firm, in case of notice to the Firm. This Agreement shall not be assignable by either the Firm or Consultant. 13. Each undersigned party to this Agreement acknowledges that he has read and understands this Agreement and hereby acknowledges receipt of a copy of this Agreement.
