Authorization for Lien and Sale for Nonpayment of Repair and/or Parts Charges Agreement made on the ___ day of __________, 20___, between ________________________________ of __________________________________________ (street address, city, county, state, zip code) , referred to herein as Customer , and _______________________ , a corporation organized and existing under the laws of the state of ______________, with its principal office located at ___________________________________ (street address, city, county, state, zip code) , referred to herein as Machine Shop. Whereas, Machine Shop is in the business of repairing and/or rebuilding automobile parts and motors; and Whereas, sometimes customers of Machine Shop fail to pick-up and/or pay for such services; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Customer, as the owner of the property left for repair, has and does hereby agree to pay all expenses incurred in the repairing of ____________________________________________ ______________________________________________________________________________ ______________________________ (designate and describe items being repaired), hereinafter referred to as Items. If Customer fails to pay all charges for repairing or rebuilding the Items , including any parts purchased or built by Machine Shop, Machine Shop shall have a security interest in and the right to claim a lien on the Items . If the amount owing to Machine Shop is not paid by Customer within ________days after Machine Shop mails notice to Customer, at the address set forth above, of Machine Shop’s intention to sell the Items to pay for labor and materials, Machine Shop may sell the Items at auction to the highest bidder. Said notice shall be mailed to Customer by U.S. Certified Mail, Return Receipt Requested. 2. Upon such failure to pay and upon the giving of said notice, Machine Shop may sell otherwise dispose of the Items , or any part thereof, by public or private sale, and the net proceeds of such disposition, after deducting all expenses of Machine Shop in repairing, building, storing, and selling the Items (including reasonable attorneys' fees and legal expenses) shall be credited against the total amount owed by Customer to Machine Shop in accordance with the terms of this Agreement, and any surplus shall be paid to Customer , or the person legally entitled thereto. Machine Shop may purchase any of the Items at any public or private sale thereof.
