(City, County, State, Zip Code) Whereas,                         ; and (Describe Agreement) Whereas, Employer maintains that Consultant breached said agreement; Whereas, Consultant has denied any such breach and has allegedly made disparaging and slanderous statements about Employer regarding said agreement; and Whereas Employer and Consultant desires to settle this dispute; Now, therefore, for and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the parties agree as follows:                         Consultant agrees not to disparage or defame Employer in any respect or to make any derogatory comments, whether written or oral, about Employer regarding the agreement described above. Consultant recognizes that immediate and irreparable damage will result to the Employer if the Consultant breaches any of the terms and conditions of this Agreement and, accordingly, the Consultant hereby consents to the entry of temporary, preliminary, and permanent injunctive relief by any court of competent jurisdiction against him to restrain any such breach in addition to any other remedies or claims for money damages that Employer may seek. Upon any breach of this agreement, Consultant shall pay Employer the sum of $       for each such breach. Consultant and Employer acknowledge that it would be difficult or impossible to ascertain the actual damages suffered by Employer as a result of any default by Consultant and agree that such liquidated damages are a reasonable estimate of such damages.
