EMPLOYMENT STATEMENT In accepting employment with __________________ ("Company") I agree to comply with all of its policies. Neither any handbook, practices nor any communications create an employment contract or term. I understand that the policies and benefits communicated to me are subject to interpretation and review by Company at any time. Company may impart to me confidential information, including, without limitation, designs, pricing, financial information, personnel information, source code, object code, marketing strategies, customer profiles and the like (collectively "confidential information"). I hereby acknowledge Company' exclusive ownership of such confidential information. I agree: (1) only to use the confidential information to provide services or goods to Company; (2) only to communicate the confidential information to fellow employees on a need-to-know basis; and (3) not to otherwise disclose or use, at any time, any confidential information. Upon demand of Company or termination of my employment, I will deliver to Company all code, disks, blueprints, manuals, designs, photographs, recordings and any other medium by which, through which or on which confidential information has been recorded or stored, which are in my possession, custody or control. I further agree that the disclosure or use of any confidential information, in breach of this understanding, would cause irreparable harm to Company and, accordingly, not only can Company seek damages, but I agree to the issuance of a permanent injunction against me restraining such disclosure and use, and I agree that any court of competent jurisdiction, selected by Company, shall have personal jurisdiction over me. I further agree that all business opportunities which are offered to me which relate to the business of the Company shall be disclosed in writing to the Company. I agree that all improvements, developments, concepts, and ideas ("Developments") relating to Company's business, or capable of beneficial use by Company, including, but not limited to, object code, source code, marketing, confidential and trade secret information, techniques, discoveries, slogans, designs, artwork and writings, which I may conceive, make, develop, or acquire, either solely or jointly with others, during my employment, whether or not conceived, made, developed or acquired on Company time, are and shall immediately become and remain the sole and exclusive property of Company without charge to Company other than my compensation. I hereby grant and assign to Company any and all right, title, or interest now existing or that may hereafter come into existence throughout the world which I may have in any Developments. I shall maintain written records of such Developments in accordance with Company policies. I shall promptly and fully disclose in writing all such Developments to Company's officers and shall at any time either during or subsequent to my employment, upon request of Company without charge, execute, acknowledge, and deliver to Company all instruments which Company may request to enable Company to file for, and to acquire, maintain and enforce, all trademarks, service marks, registrations, copyrights, license and patents covering such Developments. I agree that neither this document nor any other communication shall bind Company to employ me now or in the future, that no consideration has been furnished to Company for my employment, other than my services, and that my employment may be terminated by Company or me, with or without reason, at any time. I further agree that if my employment is terminated by Company, it can be done without liability to me for wages or salary, except such as may have been earned or which may be due by virtue of applicable statutes. I understand that only the President of Company has any authority to enter into any agreement for employment for any specified period, or to assure any benefits or terms or conditions of employment, or to make any agreement contrary to this statement. I also understand and agree that this agreement may not be modified orally, and that if such a modification is made it must be in writing and signed by the President of Company and me. I agree not to recruit and not to assist any other entity in recruiting any other employee who worked for Company during the last twelve (12) months I worked for Company. Further, I will not reveal the identity of any supplier to any competitor of Company. These restrictions will apply during my employment and for twelve (12) months subsequent to my employment. I agree that establishing the precise amount of damages for breach of this provision, for each person recruited about whom I have provided information in violation of this provision, will be impossible and therefore I agree that liquidated damages for such violation shall be the amount of annual compensation of that person at Company. __________________________________ Date: ___________ Employee Signature ___________________________________ Employee Printed Name
