An Independent Contractor Sales Agreement is a written contract that defines the working relationship between a hiring business and an independent sales contractor. It sets out the scope of sales services, commission and payment terms, expense reimbursement rules, tax classification, confidentiality and intellectual property assignments, performance expectations, term and termination provisions, dispute resolution, and governing law. In the United States this agreement can be executed electronically where ESIGN and state UETA/ESRA rules apply, provided the parties demonstrate intent, consent, attribution, and record retention.
