International Master Purchase Agreement Page 1 of 12 International Master Purchase Agreement International Purchase Agreement made on the day of , 20 , between , a corporation organized and (Name of Corporation) existing under the laws of the State of , of the United States (Name of State) of America, and with its principal office located at , (Street Address) , and referred to herein as Seller, and (City, County, State, Zip Code) , a corporation organized and existing under the (Name of Corporation) laws of the , of the nation of France, with its principal (Name of Province) office located at , referred to herein as (Street Address, City, County, State, Zip Code) Buyer. Said Buyer and Seller are sometimes referred to herein as the Parties. I. DEFINITIONSA. Agreement means this International Purchase Agreement and all consistent terms contained in any Product Order which is accepted by Seller in writing. B. Product or Products mean all materials which are the subject of any Product Order. C. Product Order means Buyer’s order of materials from Seller.
The contractor shall be responsible for making all arrangements necessary to obtain and deliver, in a timely manner. The contractor shall have the responsibility for collecting and retaining a completed copy of from the buyer and shall notify the buyer by mail. 1) the contractor shall have the responsibility to receive from the buyer any required information such as tax information as provided in this contract. 2) the contractor shall have all the necessary information to conduct an examination for payment, including the name of seller, address of seller, contact information, and the contract order number, and to determine the total cost to be paid for materials. 3) if the item was purchased with an additional payment, the contractor shall make the determination of payment. 4) if payment will not be made, the contractor shall send a notification notifying the buyer of non-payment. The contractor may contact the buyer by telephone. 5) if the contractor determines that payment was received, the contractor shall pay to seller upon receipt of the payment or, if the buyer refuses or fails to pay after seven (7) days, the contractor is in default. Vi. Delivery and reception of goods. The contractor shall deliver goods, which are not defective, to buyer: the contractor will send a written receipt for goods for delivery after the delivery of materials. Vii. Delivery and performance of the contract. The contractor shall comply with delivery instructions given by buyer or buyer shall, at the request of the contractor, provide a written receipt for delivery of the contract order. The contractor shall make all reasonable efforts to cause all materials delivered to buyer to be delivered to buyer not later than the delivery date and time specified in this international master purchase agreement. Buyer may, at buyer's discretion, have the contractor pick up and deliver materials to buyer's usual place of residence. Ix. Payment. Payment is due when, the contract for the goods (the transaction) or delivery (the performance) is completed and the goods are delivered to the buyer. The payment of the purchase price due shall be made in cash by credit card, cashier's check, money order, wire transfer or any other means acceptable to the contractor.
