For and in consideration of being employed by Employer, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. While employed by Employer, Employee shall not engage in a business in any manner similar to, or in competition with, Employer. Furthermore, Employee, upon leaving the employ off Employer, Employee shall not engage in a business in any manner similar to, or in competition with, the Employer's business for a period of _____ years from the date of termination of his employment with the Employer in the geographical area within a _____ mile radius of any present or future office opened by the Employer during said period of time. 2. Employee agrees that the above restriction is reasonable as to length of time and geographical area and waives any objection thereto. 3. During the period set forth in Paragraph, Employee shall not request any customers of any business then being conducted or contemplated by Employer or its affiliates to curtail or cancel their business with Employer. Also, Employee shall not disclose to any person, firm, or corporation any trade, technical or technological secrets, any details of organizations or business affairs, any names of past or present customers of the Employer. 4. Employee recognizes that immediate and irreparable damage will result to the Employer if the Employee breaches any of the terms and conditions of this Agreement and, accordingly, the Employee hereby consents to the entry of temporary, preliminary, and permanent injunctive relief by any court of competent jurisdiction against him to restrain any such breach in addition to any other remedies or claims for money damages that Employer may seek. Employee agrees to render an equitable accounting of all earnings, profits and other benefits arising from such violations; and to pay all costs and fees incurred by the Employer in enforcing this Agreement. 5. Employee represents and warrants to the Employer that his experience and capabilities are such that he can obtain employment in business without breaching the terms and conditions of this Agreement and that his obligations under the provisions of this Agreement (and the enforcement thereof by injunction or otherwise) will not prevent him from earning a livelihood. 6. The invalidity of any portion of this Agreement will not and shall not be deemed to affect the validity of any other provision. If any provision of this Agreement is held to be invalid, the parties agree that the remaining provisions shall be deemed to be in full force and effect as if they had been executed by both parties subsequent to the expungement of the invalid provision. 7. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 8. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of ______________. 9. Unless provided herein to the contrary, any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 10.
