Such consent herein and hereto is evi denced by the signatures of the Shareholders and Directors of the corporation affixed hereto. The Shareholders and Directors acknowledge that it is necessary or desirable to take various annual actions in connection with the corporation in accordance with Pennsylvania Business Corporation Law of 1988.
