Building Security Services Agreement Agreement made on the ________________________________________ (date), between _______________________________________________________ (Name of Building Owner) of _______________________________________________________ ________________________________________________________________________ __________________________________ (street address, city, county, state, zip code), referred to herein as Owner, and _____________________________________________ (Name of Security Services Contractor), a corporation organized and existing under the laws of the state of ______________________________________, with its principal office located at __________________________________________________________ ________________________________________________________________________ ___________________________________ (street address, city, county, state, zip code), referred to herein as Contractor.For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Services to be Performed A. Contractor will furnish properly equipped uniform guards to perform security services for Owner at the building and the immediately surrounding area located at ______________________________________________________________________ ________________________________________________________________________ __________________________________________ (street address, city, state, zip code), hereinafter called Premises, in accordance with the guard assignment schedule attached to this Agreement as Schedule A and made a part of this Agreement by reference.B. The number of guards to be provided, the location of their posts, the hours of duty, the rates of compensation, and any special instructions describing the nature and scope of their duties shall be specified in Schedule A. 2.Duties of Guards In addition to the duties described in the guard assignment schedule attached to this Agreement, the security guards of Contractor shall perform the following general security duties:A. Security guards shall conduct regularly scheduled tours of the Premises, checking all gates, doors, windows, and lights.B. Security guards shall report any unusual incidents or hazardous conditions as soon as practical to such persons as may be designated by Owner.C.Security guards shall make out a written report covering all incidents or hazardous conditions at the conclusion of each tour. 3.General Duties of Contractor Pursuant to this Agreement, Contractor agrees as follows: A.Contractor will equip and maintain an organization capable of furnishing the highest type of public relations and security service.B. Contractor will require each member of its staff to continually improve his/her knowledge of all phases of security and protection, and to apply that knowledge in the interest of Owner under and pursuant to this Agreement.C.Contractor will keep all members of its organization informed of new methods and procedures through current and modern education programs.D. Contractor shall keep abreast of legislative and other matters pertaining to security and keep Owner informed, if necessary and appropriate to the protection of Owner's interests.E. Contractor shall maintain new and practical techniques in fulfilling its duties and obligations under and pursuant to this Agreement.F. Contractor will select its personnel with utmost care and maintain records of the background of each member before joining the organization, and a record of his or her conduct and accomplishments while a member of Contractor's organization.G. Contractor will maintain employer-employee relationships that will promote the greatest efficiency from each individual member of Contractor's organization, in the interest of Owner.H. Contractor will maintain records of the activities of the personnel while on duty under and pursuant to this Agreement so as to be able to furnish Owner with an accurate account of the activities of the security guards assigned to each location. 4.Training of Security Guards All security guards employed by Contractor and assigned as security guards to protect Premises will have received training in observation, human relations, vandalism, traffic control, reports, emergency fire equipment and its use, firearms, spontaneous fires and their prevention, the policies, rules and regulations of Owner, the Premises of Owner, potential legal problems that can arise from and out of performing security services, identification, and court testimony. 5.Reports of Security Guards A. Each security guard, at the end of his or her tour of duty, will prepare a report to be turned over to the security supervisor of Contractor. B. The report will contain the name of the security guard, his or her hours of work, activity during each shift, including any unusual happening, hazards, or other circumstance, and any emergency, special reports of any irregularity, or unusual activity.C. A copy of each report will be examined at the headquarters of Contractor and all unusual circumstances will be noted. Items pertaining to safety will be turned over to the appropriate security supervisor, who will report his or her findings to management of Contractor.D. All reports coming into the office of Contractor will be kept on file for at least _______ (number) years. 6. Emergencies Any emergencies are to be reported by the security officer without delay. 7. Specific Duties of Security Guards A.Specific instructions describing the nature and scope of the duties of security guards shall be specified in Schedule A attached to this Agreement, but, generally, such duties will include the physical protection of grounds, equipment, and property of Owner, prevention of burglary, vandalism, pilferage, and robbery, enforcement of rules and regulations of Owner, quelling disorders, and verifying identification of and logging employees in and out of Owner's buildings.B. The security guards will act on their own initiative at the direction of authorized personnel of Owner and on orders from Contractor. Their personal appearance, attitudes, and manner of performance will, at all times, reflect a favorable public image, both for Owner and Contractor. The security guards will be under constant scrutiny by the security supervisor, duty officers, and the staff of Contractor. Such supervision will include inspection, control checks, and continual reevaluation to insure top performance from each security guard and supervisor. 8.Guards as Employees of Contractor The security guards furnished pursuant to this Agreement will be employees of Contractor, and Contractor will exercise complete control over their conduct and will pay all wages, expenses, social security taxes, federal and state unemployment insurance, and any and all similar taxes relating to such employees. 9.Insurance During the term of this Agreement, Contractor will carry and maintain in full force insurance coverage, evidence of which will be furnished to owner upon written request. This insurance coverage shall include workers' compensation insurance as required by the laws of ___________________________________________ (Name of State) covering all persons employed by Contractor engaged in the furnishing of services under this Agreement and general liability coverage for personal injury and property damage, which coverage shall cover the risks of false arrest, false imprisonment, malicious prosecution, libel, slander, and violation of right of privacy. 10.Indemnification of Owner Contractor will indemnify Owner from and against any and all losses or damages that Owner may sustain by reason of damage to property or injury to or death of any person, or for any losses or damages sustained by owner from false arrest, false imprisonment, malicious prosecution, libel or slander, or assault and battery or similar type of offense caused by the negligence or wrongful act of Contractor, its employees or agents, while engaged in the services arising out of and within the scope of the performance of this Agreement, other than those that arise in part out of the contributory negligence or wrongful act of Owner and other than those amounts paid in settlement of any claim or litigation effected without the consent or approval of Contractor. 11.Supervision of Guards Contractor agrees that it shall be responsible for the direct supervision of the security guards through its designated representatives at the Premises to which this Agreement relates. 12.Security Standards Contractor agrees that the security services covered by this Agreement shall be performed in accordance with acceptable security practices and standards. 13. Rate Increases If rates of pay are affected by any federal, state, or municipal legislation, regulation, administrative ruling, or by collective bargaining agreement, such rates of pay shall be subject to renegotiation by the parties to this Agreement and made effective as of the effective date of the increase in the rates of pay. 14. Hiring of Guard by Owner Owner agrees that it will not, for a period of at least ________ (number) years after the termination of this Agreement, hire for employment as a security guard any person employed by Contractor in the performance of this Agreement. 15.Duration of Agreement The term of this Agreement shall commence on the above-stated effective date, and shall continue until _______________________________________________ (date), subject to the right of either party to terminate this Agreement on ______ (number) days' written notice to the other. 16. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 17. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _________________________________. 18.Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 19.Attorney’s Fees In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all the sums that either party may be called on to pay, a reasonable sum for the successful party's attorney fees. 20. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 21.Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 22.Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 23.Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party. 24.Counterparts This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original, but all of which together shall constitute but one and the same instrument.
