Whereas, Employee understands that, in its business, Employer has developed and uses commercially valuable technical and nontechnical information in the various existing and projected fields of Employer's business and, to guard the legitimate interest of Employer, it is necessary for Employer to protect certain of the information: (1) as confidential and a trade secret; and/or (2) by patent, copyright, and/or other means of protection; and Whereas, Employee understands that such information is vital to the success of Employer's business, and that through Employee's employment by Employer, Employee may become acquainted with that information, and may contribute to that information through inventions, discoveries improvements or in some other manner; and Whereas, Employee understands that all such information, inventions, discoveries, improvements, and other results of Employee's employment by Employer are the exclusive property of Employer and may be protected by Employer as Employer deems appropriate; Now, therefore, for and in consideration of the matters described above, and of the mutual benefits and obligations set forth in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. EmploymentThe scope of the employment shall be as set out in the attached Schedule A. The employment shall also specifically include, but not be limited to, the reasonable provision of documentation and annotation for any products or information resulting, in whole or in part, from the employment (Employee's Output) that is deemed adequate by Employer for Employer to continue to productively use Emp
ii. Period of employment to be 4 months. Iii. A severance pay of equal to 1 month of salary for each year of employment. Iv. In lieu of severance pay, employer may agree to reimburse employee all or a portion of the severance pay not otherwise owed. V. No other job offers shall be made to employee upon termination. Vi. Notwithstanding anything to the contrary herein, at any time during the employment, employee's identity shall remain undisclosed except to those authorized in writing to act on behalf of employee, (employees within “family and household members"," (employees who have a spouse or domestic partner who is not an employee) and other employees, in which case, only the employee or employee's spouse or domestic partner, shall have knowledge of employee's identity. Vii. Upon completion of the employment, the employee shall be employed to work on the employer's own behalf until such time as the employee makes a written recommendation to the employer as to another position, and the employee accepts the recommendation, including an explanation of the employee's reason(s) for refusing to accept such other position, and the employer is willing to offer the employee such other position if the employee accepts. Viii. In case of an employer's failure to make a satisfactory recommendation to the employee regarding another position, the employee may terminate the employment at any time upon written notice to the employer to include, in appropriate detail, the reasons for such termination. Ix. The provisions, provisions of and conditions of this agreement that are the same or substantially similar to those set forth in schedule a shall survive termination of the employment agreement. C. Employee's employment shall be considered continued in the event that one or more of the following occurs: (1) the employee becomes incapacitated; or (2) the employee's employment at the employer's establishment is terminated because of death, discharges or other causes. D. In the event of an employer's failure to provide adequate documentation for the protection of information identified on schedule b, or for the protection of information identified on schedule d: (1) a copy of a written agreement between employer and employee shall be maintained in the employee's work space for as long as the employee's employment is in effect; (2) on the written agreement provided with the employee's termination or if requested by the employee, the employer's employee assistance personnel shall, at the option of the employee, provide a copy of the agreement; and (3) in the event of a dispute concerning receipt of such documentation, the person in.
