use it on a commercial basis all right let's talk generally about franchising a lot of people think that franchising is something new was just lately created this is not the case the very first franchise was already created in 1860 by the singer company uh they used it to distribute their sewing machines then 1880 we had cities giving electricity and utility franchises then around the turn of the century we had the car industry the petroleum industry 1921 the first food franchise company called white castle uh us burger chain which is still in existing until now but didn't really make it that big compared to others and the baby franchise today what we're talking about today is business format franchising and the company who made it biggest in format business format franchising mcdonald's started 1955 and by today they have 38 000 restaurants worldwide same in the philippines the single company started it all then afterwards you told the foreign brands came to the philippines a w mcdonald's this went on actually up to 1997 when the asian crisis hit us and the dollar went from 20 pesos to 40 and 50 pesos from that time on the local branch became popular and by the day we have more than 1500 franchise companies on the market 250 are foreign and again majority of those are developed actually franchise consultancy oops uh the types of franchises by demand and supply uh food is number one of course restaurants cafe cards and kiosks the second biggest category is the vanity sector that was actually before the epidemic started and uh health sector was the third biggest which actually overtook now the vanity sector uh retail was number four they actually were the number one when we started in the 1990s and they did not prosper as much they still have more or less the same numbers on franchisees and outlets and the other three actually took over them that's it education is sincere a big turner uh business franchises are doing also well during botanics and before and after and practically anything under the sun today's franchise important so i'll be talking about you know about business format franchising which is actually a contractual relationship between two parties the franchisor who awards the franchise with the who are at the end and the franchisee with the probably at the end who received the franchise and the franchise allows the franchisee to use the business system the trademark and the corporate identity for the length of the franchise agreement and the franchisee purchases therefore the experience expertise and method of doing business and doesn't have to go through the pain of the startup which the franchisor already went through generally speaking franchise is independent from each and every of his franchisees every franchisee had to get their own mayors from it they have to get their own tti or secret registration defensively a civil proprietorship or cooperation partnership so every franchisee has to get their own ngo registration they also have to get their own vr registration okay and the franchisor controls the products and services that the franchisee are permitted to sell so a franchisee cannot just add products or take out something what he doesn't like to sell he has to follow strictly what a franchisor is prescribing in franchising we also talk of opm other people's money because the franchisor is prescribing how the franchise is investing his money in the franchise this is done through the procurement program the procurement program is a list of the authorized suppliers and supplies from other franchisees to portuguese and we also talk of a exclusive protected territory radios around the franchise facility where we don't allow any other franchise company or or company outlet to be established that radios can be very small if it's a big shop or a convenience store and depends on the complexity of the business and the other circumstances uh how how far they will be from each other uh that can be also if they're all based only in malls or it can be the area for instance i'll talk about this later also in franchising we talk about an exclusive relationship the exclusive relationship we understand that the franchise is not allowed to compete with the franchise okay so it can do any kind of business but he cannot do what he is also franchising from the franchisor and also the franchisee has to secure their own location franchisors are not in charge of finding locations franchises have to find their own so what does the franchise provide the 15 items actually first of all the system standards the way a franchise or is operating so there's no difference in the standards between a franchised outlet and a company outlet they all operate the same way second is the use of the trademark i have several slides about the trademarks so what is a trademark trademark is any logo or sign or slogan which is registered with intellectual property office then of course the franchise provides the experience and the wisdom of the franchisor a franchise okay it's also an operation provides us an operations manual with a franchisee in training training per se is usually part of the franchise fee what we understand there is when the franchise signs up he and the staff can undergo the training even later on if a new product comes in which requires training or a new piece of equipment this is still part of it okay however if a franchisee changes his stuff and the franchise is required to retrain a new set of stuff this is what we call uh not anymore initial therefore for those circumstances the franchisor can charge the franchisee by site selection assistance we the franchise will tell the applicant what kind of locations they should be looking for how many square meter how many meter frontage uh some location particulars like how many people are passing by or how many cars are passing by or how many tricycles are passing by and then in the end once the franchisee found a location the franchisor has to approve or disapprove the location depends if it's a viable location or not also the franchise will provide the store layout which has to be adapted to the location and before the franchisee actually can go into construction the franchise or for the franchise it can go into construction the franchisor has to approve the final layout okay and then also in some cases the franchisor provides construction supervision this is mostly with bigger clients bigger construction sites like among our clients national bookstore or jerry's grill or fenix petroleum and then exclusive territory again the radios around the franchise facility and the procurement program the list of the authorized suppliers and supplies very important is also that the franchisor is providing opening assistance we're opening assistance we understand that the franchisor will send a representative to the franchisee when the franchise is opening his outlet how long the opening assistance takes is more or less the same time as a training tool now more or less if it's a card that clears business training and then opening assistance might be only three or five days if it's a restaurant or a salon or something more complicated it might easily be a month okay both ways are training and opening assistance then the marketing strategies whatever the franchise is doing franchises are allowed to do as well effective field service we understand two things first of all the franchisor has to be reachable by his franchisees anytime they have a problem which today is no problem actually because everybody has cell phone apps email so communication is not really an issue and then second the franchisor has to regularly visit also his franchise facilities and of course also franchisor is in charge for research and development of new products new equipments new marketing schemes so let's talk about the trademarks what is a trademark actually lead mag is used to differentiate goods and services which can press in one word a group of words or services a sign a symbol a logo a 3d container or a combination of this so normally it's a logo actually okay and it should be any visible sign capable of distinguishing the good or services of an enterprise it should include stamped or marked container of goods in other words a signage account okay so you have to register if you're a franchise or you have to register your sign with the intellectual property office now if you have a sec or tti that's good and fine but this does not help you to be a franchiser because i'd say a tti only allows you to do pieces by yourself okay so you need that one but it does not protect your trademark it does not protect others from using your marks okay you cannot file infringement of the trademark if you haven't filed for a treatment and you cannot utilize any rights under the intellect or property code if you have not filed for a treatment so that's why a trademark should have a distinctive character the must be united holy or one specific colors and the color combinations maybe distinctive uh should be an invented word because the limitations on the wordings so therefore the best trademarks are invented words uh then it should be always easy to pronounce and remember okay and it should be easy to be spelled and easily to be written and to be easily read and should have appeal to the eye as well all right so uh the importance of the trademark uh first of all you grant exclusivity you get granted exclusivity because if you have it nobody else is allowed to use it second it's exclusive again to your owners generate goodwill and recognizes game recognition and reputation so it can be a marketing tool it can be used for licensing like franchising it can be used as a collateral particularly abroad even banks don't consider it much the trade the value of a trademark but in other countries you can actually use a trademark as a collateral with bank loans and of course you can also assign it and sell it and make money of it so examples of trademarks so that we use a very prominent like the word mark so the word jollibee or the symbol of the bee or a combination of it like a maralco all right so these are all examples of specific trademarks so what are the benefits of buying a franchise you receive a proven profitable system for doing business okay because a franchisor made already money with it second is the branding so it always starts on the local and then becomes a regional brand a national brand and then some of them become international as long as a brand is still local it's normally the easiest to buy still the cheapest uh the stronger the brand the more expensive it is uh also we have more than 30 of our clients who have already franchises out to the philippines so it's also very possible for our franchisors to become an international brand and to buy a franchise of course is less at risk than an independent startup you can advise you're never alone in a franchise system and of course you can have it all faster than independent business so what are the pitfalls if a franchise is not professionally developed so if the franchisor doesn't offer proper training or has no precious manual or if you sign up with the franchise or the trademark because whoever has a trademark can actually harass the franchisees for trademark infringement the legitimate drawbacks and franchising of course uh payment or fees franchisor has to pay has to collect from the franchises fees like franchisees uh royalty fees continuation fees advertising fees etc etc the franchisee is forced to buy from the source of the franchisor the franchisee has to respect of the norms attached to the concept so he cannot just do what he wants to do so if you have a problem following concepts and norms you better don't give a franchise so if your egocentric personality franchising is not for you so how to select a franchise first of all examine the opportunities as i said we have more than 1500 filipino franchises out there cost of investment franchise cost money of course you can get loans today for a franchise but it's not really the best idea uh some some banks like dpi candy guccio uh franchise loan the offred metrobank security bank other banks generally i don't endorse any of them uh as they are not really 100 franchise loans as in other countries where you actually can use the uh franchise accredited as a collateral then of course the type of interest experience actually is not only required you don't have to be afraid uh when you buy a french that you cannot buy francis because you don't know anything about so don't worry about it i will tell you that 99.9 of all restaurant franchisees only know how to eat they don't know how to cook perfectly fine all right more important is location location location that you are with your business at the right location and when you found a franchise you can check the background of the franchisor and the support the franchisor is giving and then you can evaluate and analyze before you decide uh what you should take so take your time in selecting a franchise and also change the pandemic a lot of people ask me should i buy a franchise now actually it's quite a good time to buy a franchise because uh franchises are giving special discounted rates and also the building owners the landlords are easy to negotiate now because so many vacancies right now and the whole process is also easy to be done now especially if you got franchise from another place before you had to fly there to apply it have a personal meeting today everything is online so you can actually get your interview uh on zoom or any other app and the whole process is relatively easy today to obtain a franchise and also important is that you're not victimized franchise come so what how to detect the franchise come first of all if it's unrealistic if it's too good to be true most likely it's not true and then when your sellers only have cell phones they don't have even landlines so they don't have a real office for example they should be a red flag okay also if they want money upfront before signing an agreement and if the franchise is only one year or two years it's 100 scum also it's a franchise contract it's only a few pages let's see two pages three pages seven pages because a real franchise agreement is at least 20 plus 20 to 50 pages okay and also if they don't have a franchise disclosure information which is required from the tti and if they don't have a deep trademark uh today a lot of scammers even have trademarks already for the brand so it's not anymore uh measurement but if they're not a member of any of our three associations so if they're not a member of either in alphabetical ordered order fifa or the pfa then most likely has come so and also beware that no government agency will help you okay nobody can help you if you're victimized you can ask us our association if a franchisor is legit and you can send us the franchise agreement check it out for you so you can do that by sending us an email to info at our franchise association that please let's talk about royalties royalties are always charged for the continuation use of the trademarks for the assistance by the franchisor that the franchisor is available his franchisee needs them and payable monthly based on closes so how much has to be charged retail usually has no royalty a hundred percent of the stocks comes from the franchisor traditionally drug stores and big shops at the lowest uh food between three to six simple restaurants usually uh with the service franchises we actually started that one we packed 1999 to change it actually from a royalty to a continuation fee uh this we usually do in the loans because or any other business which is relatively hard to audit which has no pos system and which is very hard to audit so what we do there is we instead of a percentage of closed sales we charge a monthly fixed amount so we call it the continuation so regardless of sales they're paying every month education franchises have the highest royalty also for the purpose that they have no renewable fees uh the franchisors in the education sector they knew without a fee all other franchisors have normally uh the newer fee of zero to fifty percent of the franchise fee upon expiration of the contract advertisement wise a franchisor may force his franchisees up to four times to participate in certain schemes first of all the grand opening marketing to make uh the people aware in the paraguay that the outlet is open which is spent directly by the franchisee also spent directly by the franchises and local store marketing so whenever there's an event within the territory of the franchisee co-op advertisement some franchisors have that when if they have a group of franchisees they for example have a billboard along a highway than the franchisees in the territory pay for that billboard and the national advertisement fund is the only one which is administered by the franchisor and all franchisees and all franchise outlet and company outlets have to pay international advertising which is administered by the franchisor to pay for tv radio approaches etc of course the national advertising fund is only for companies which are already big that they really need our national national coverage in their advertisements so what are the mistakes of franchise buyers first of all they believe they don't have to work anymore just collect money uh this is a possibility if you get a co-ownership franchise then yes you can do that but otherwise the more hands-on you are in your business the more uh you will be feeling better therefore don't underestimate the requirement for it means to be a franchisee don't expect too much also from the franchisor a franchisor is not a babysitter who holds your hand 24 7. and also don't make any shortcuts in and try to the construction because you always get caught and then you will be actually more money than what you thought you would be saving also don't join uh fire the bandwagon for fights usually only last two or maximum three years and then they're gone a lot of people actually asking me now ask me this year uh if the milky businesses are fats and i say no they're not the fans they actually have established themselves already as uh a regular business holiday especially in the epidemic because in epidemic a lot of the military businesses did more business than before so that's a good sign actually so that also secures them the spot in the regular businesses so they're not a fan also a lot of filipinos don't want to be the first franchisee in the system which is wrong if you want to buy a franchise you probably are you're better off if you are the first franchise in the system particularly if it's properly developed because if you're the first one first of all you get the tlc treatment from your franchisor and most likely the franchise fee is lower and royalties or continuation fees are lowering also so don't compare only franchise fee but the total investment through the years geographically we have three type of franchises first of all the unit franchise the unit franchise means so it writes to one outlet so normally three to 15 years for uh franchise contact normally standard for a story is five to ten years uh some kiosks have three cards have three to four but only covers one and by outlet area franchises the name says you get a geographical territory it can be a proven city or portion of it the franchisee may be required to follow a development program which means uh he has to open a certain number of houses in a certain period of time let's say like three outsides in five years or two hours and fifty years all right to be the exclusive for the territory which can be as i said earlier province a city or a region not bigger silver in the country but directs the whole country we call that the master franchise so in the philippines all the foreign brands are master franchises but as i said also more than 30 of our clients have already mastered franchises outside the philippines so again if you buy a master franchise from abroad you will have to file a development program so you have to open a certain number of outlets in a certain period of time but you might be allowed to sub-franchise so if you are allowed to sub-franchise it means the master franchisee becomes the franchise or for the country and is allowed to sell franchises to third parties let's talk about the steps to a franchise first of all if you're interested request for a franchise key then you fill up the confidential question and send it to the franchise with your letter of intent the franchise will meet you and discuss the functions details then you will be evaluated and then either approved or disapproved if you are disapproved and at the end of the story if you're approved you will receive the franchise's closure information then you're ready then you sign the memorandum of agreement and pay the administration fee and then it depends if it's inside a bowl out of the mall if it's out at the mall once you have the location found franchise will approve it or disapprove it and you can proceed to uh step nine if it's inside the mall before you get an approval before you can sign up to the franchise agreement the franchisee applicant has to apply them all and you can only assign the franchise agreement once the mall approves the concept when the more keeps the lease off because if there are more gives a list offer that means they approved your concerns all right then you can sign the franchise agreement and pay the franchise fee then you set up the facility under google training and you have the opening assistance and the sell his business he can find his own buyers franchisor may approve them and once he approve them you send a transfer release agreement and what they can actually sell only the franchisees to the new buyer is the remaining balance of the contract so they don't get a new lease of life but just continue the existing term of the contract then also in case the franchisee dies the health can take over and operate it or they can sell it in accordance with the transferability of interest rule anyway the franchise always has the right of first refusal other legal agreements we have the memorandum of agreement which is a pre-contract uses every today every time the accredited landlord which is a tripartite agreement between franchisor franchisee and the landlord which is used sometimes which guarantees the location for the franchise or in case franchises cruise up with the landlord or the franchisor guarantee an assumption of obligation we usually use if the franchise he doesn't earn his business should be in operation for at least one year or beyond the dragon the error stage we should have achieved its payback period and the business should be able to be copied according to the systems and it has to be proven profitable and credibility to its client and there should be a need of your business in other places so don't franchise your business if you don't have a prototype you need at least one outlet for at least three reasons first of all to show it off the prospective franchises second for training and then third for research and development so you need at least one outlet if you have more outlets the more that you have the more uh you you look positive to the franchise applicants you find this uh more attractive if you have more outlets but generally one would do if your business is failing if you think your franchises will sink along with you it's not really a good idea if the business depends too much on yourself if gross margins are very small not compensated by high volume if products are a fad uh if the skin's levels are too high that you cannot teach it within three months maximum or if you do the franchise development by yourself which usually causes uh problems uh afterwards if somebody's doing it by themselves and then get into troubles with franchisees and the law et cetera et cetera easier if you get us from the very beginning so what are the advantages being a franchisor you receive a franchise fee every time you sell a franchise you collect royalties and you can gain also from selling to franchisees and you can expand the brand and the speed you want to grow and you use other people's money in the growth and of course you also list the direct involved operation because the franchisees are the ones running the day-to-day operation of the outlets and of course as you can leveraging on the recognized brand name uh best example of that and was in yep and he sold his mangrasal he's got so many billions of pesos for 300 stores so it's amazing just because he owned a brand okay and then there for us it enhances your business image also if you have more outlets the more that you have it ensures of the constant quality and if you have a commissary uh attain higher productivity therefore can work with economies of skills which also helps you reduce the risk of failures and the stronger the brand the better you get access to good locations so if you want to develop your business into a franchise this is what you need this is what we do for our clients actually first of all francis structure i do this personally for our clients this is where we calculate franchise fees and royalties the length of the agreement the investment package paper periods space and logistics requirements then we have a franchisor manual which is more than 200 pages which is a guide for companies how to be a franchise how to find the franchises how to treat them how to select them how to treat them etc etc so many we have of course the franchise agreements the more landlord agreement agreement of course we provide us our clients with area and master franchise agreement on the marketing side we have also our the first and power fill mars fuel uh flex fuel uh nitrofoil and blue energy so all of them are actually dealerships legally and then of course distributorship we're using mostly the cosmetics
