Whereas, Employee has been employed by the Company on an at-will basis as __________________________ (Name of Office), and Employee and the Company desire that Employee continue working for the Company in this capacity; and Whereas, Employee and Company further desire to enter into this written Employment Agreement (this Agreement) and to be bound by the terms and conditions of this Agreement; I. Capacity and DutiesA. At-Will EmploymentCompany has employed and shall continue to employ Employee pursuant to this Agreement on an at-will basis. Employee's employment under this Agreement with the Company is for an unspecified duration and may be terminated at any time by either Employee or the Company, for any or no reason, with or without prior notice, except as described in Section III. B. Capacity and DutiesEmployee shall be subject to the supervision and control of the Company's Chairman of the Board and Chief Executive Officer and the Board of Directors, and agrees to perform such duties and responsibilities normally associated with the position of ________________________ (Name of Office) and as may reasonably be assigned to Employee from time to time by the Company's Chairman of the Board and Chief Executive Officer or by the Company's Board of Directors. Employee is required to work those hours necessary to perform properly such duties and responsibilities normally associated with the position of ______________________ (Name of Office) and as may reasonably be assigned to Employee from time to time pursuant to this Agreement. Notwithstanding the foregoing in this Paragraph B, after a Closing Date (as defined below in this Agreement), Employee shall have such title, duties and responsibilities and be subject to the supervision and control of such persons as may be, after taking into account the fact that a Change of Control (as defined below in this Agreement) has occurred and other relevant facts and circumstances, determined by the Company in its sole discretion from time to

Closing date. Upon the occurrence of a change of control of the company to such date, each of the company and employee will enter into this agreement which will extend for twelve (12) months from the date such change of control occurred to the date of the last payment under this agreement. The company's chairman of the board or chief executive officer has the authority to extend this time period in the sole discretion of such person. No such agreement may extend for more than a specified total of thirty (30) months beyond the date of that control change. 2. Term of agreement. This agreement is for an unspecified minimum term and may be renewed at any time with the consent of the company to be fixed by the company's board of directors. 3. Termination or expiration of at-will employment. At its sole discretion, the company may terminate this agreement at any time and for any reason except as provided herein. When employee terminates this agreement, employee shall terminate with and without compensation. When the effective date of this agreement for other reasons is changed, the existing at-will employment agreement (i) shall take effect during the period the change of control is to be effective, (ii) shall become an at-will employment agreement with corresponding termination provisions, and (iii) shall be deemed to be terminated with and without compensation under clause (ii) of this subparagraph iii. 4. Employment of other persons. Employee may appoint or retain other persons as members of his or her management team for purposes of performing his or her duties pursuant to this agreement in addition to employees referred to in subparagraph n. 5. Inability to use services. The company's chairman of the board or chief executive officer in its sole discretion may limit or restrict the use or utilization of services for which the employee is eligible as a member of the company's management team under this agreement, or the ability to be utilized as an employee of such company's management team, with due consideration given to the nature and quality of the services provided and the competitive market in which such services may be provided. In addition to any limitation or restriction, the company's chairman of the board or chief executive officer in its discretion may limit or restrict the type of work the employee may perform or use the services of any other person, on a day to day and per diem basis.
