They are two very different languages, not just in modality but in every way: grammar, vocabulary, semantic space, you name it. As someone else said, they’re even less comparable than Spanish and Chinese.That aside, someone who was born stone deaf and much later gained the ability to hear would have a hell of a time learning to tell different sounds apart. That critical period of the brain learning how to interpret sounds is long past. I was once personally acquainted with someone like that. His cochlear implant allowed him to hear for the first time in his life and he found it to be an interesting novelty for a while, but when he just could not get the hang of distinguishing between different types of sounds, he turned off his implant, threw away the controller, and never looked back.I’m pretty sure if you have a hard time distinguishing between the crinkle of paper and a car horn, the nuances of speech sounds will not come easy.Side note: All languages are spoken. Language is language, speech is speech. Some speech is manual, some speech is vocal.

If you show up on Day 31, you’re screwed; it doesn’t matter how wrong the order in question was—the courts have lost jurisdiction to modify it or to consider it on appeal.But under certain circumstances, you may ask the court to grant leave to appeal nunc pro tunc. This means that your appeal will be treated as timely filed, even though it wasn’t. You generally have to show equitable circumstances that amount to a “breakdown in judicial administration,” such as the failure of the trial court to serve the order on a party. If the term sheet was later withdrawn, then no, this probably doesn’t affect the 409(a). But a couple of caveats:If the diligence issue that surfaced is such that the company is materially impaired, maybe you do need to reprice the 409(a) — downward! For example, maybe accounting anomalies were discovered, and the revenues aren’t really what they were previously stated to be. Or perhaps something has critically impaired the company’s ability to raise funds before its cash runway runs out. In that case, consider the need for a new 409(a).If multiple term sheets were received and there is a near-term (rule-of-thumb: within the calendar quarter) expectation of a new investment with a different investment lead, then some people would argue this triggers a change in the valuation. I’d say the conventional wisdom here is that “the deal isn’t done until it’s done” and hence no new valuation is necessary until the new round actually closes. But, this is a facts-and-circumstances-based determination, and a good topic for discussion with your tax counsel and corporate counsel. If you think an IPO is less than 2 years into your future, then the likelihood of scrutiny of your valuation process here goes up, and I’d spend more time documenting the thought process that went into your determination.
