Agreement to Rent Toll Free Numbers to Generate Loan Modification Leads Agreement made on the _____________________________ (date) , between _____________________________________ (Name of Lessor) , of _____________________ ____________________________________________________________________________ (street address, city, county, state, zip code) , hereinafter called Lessor , and ___________________________________ (Name of Lessee) of _______________________ ____________________________________________________________________________ (street address, city, county, state, zip code) , hereinafter called Lessee . Whereas, the undersigned Lessor owns a pool of toll free telephone numbers that he leases to companies interested in loan modification leads; and Whereas, the undersigned Lessee desires to rent these numbers from Lessor; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Lessor hereby leases to Leasee the pool of toll free numbers (the Numbers ) consisting of the following: (list or describe toll free Numbers being leased) _____________________ ____________________________________________________________________________ ____________________________________________________________________________. 2. Rent in the amount of ____________________ ($ Amount) is due from Lessee to Lessor at the address set forth above on or before the first day of each month, beginning _____________________________ (date) . 3. The term of this Lease shall be one year beginning the date hereof provided; however, this Lease is subject to termination on ___________ (number) days' written notice from Lessor to Lessee at the address indicated at the beginning of this Agreement. 4. All information collected and obtained by Lessor in the day-to-day use of this service will be held in the strictest confidence and will be considered proprietary to the Lessee. This includes all recorded information, leads, or any other information provided to or obtained by Lessor in any form written oral or electronically. 5. Lessee is responsible for controlling access to and maintaining the security of its account, and shall notify Lessor of any user names and/of passwords which are lost, stolen or suspected of being used fraudulently. Lessee shall not, at any time engage in or assist others in fraudulent or abusive use of these Numbers . 6. The following shall constitute a default under this agreement: A. Lessee shall default in the payment of any rent or in making any other payment hereunder when due, or B. Lessee shall default in the performance of any other covenant herein and such default shall continue for five days after written notice hereof to Lessee by Lessor . 7. Upon any such default, and in the event of any default by Lessee in any of the terms of this Lease agreement, Lessor shall have the right to exercise any one or more of the following remedies: A. To declare the entire amount of rent hereunder immediately due and payable as to any or all Numbers , without notice or demand to Lessee ; B. To sue for and recover all rents, and other payments, then accrued or thereafter accruing, with respect to any or all Numbers ; C. To take possession of any or all Numbers without demand, notice, or legal process, wherever they may be located. Lessee hereby waives any and all damages occasioned by such taking of possession. D. To pursue any other remedy at law or in equity. 8. Notwithstanding any such repossession, or any other action which Lessor may take, Lessee shall be and remain liable for the full performance of all obligations on the part of Lessee to be performed under this Lease. All such remedies are cumulative, and may be exercised concurrently or separately. 9. Lessee shall pay Lessor all costs and expenses, including attorneys = fees, incurred by Lessor in exercising any of its rights or remedies hereunder or enforcing any of the terms, conditions, or provisions hereof. 10. Lessee agrees to indemnify and hold harmless Lessor from any damages, losses, obligations, liabilities, claims and expenses (including reasonable attorneys' fees and other costs and expenses of any suit, action, investigation, claim, or proceeding) of any kind whatsoever, sustained, incurred or required to be paid by Lessor by reason of or arising out of, directly or indirectly, Lessee’s use of the Numbers , or the use of the Numbers by another (whether or not authorized by Lessee ), including without limitation, any claim of libel, defamation and/or violation of rights of privacy. Lessor reserves the right to assume the exclusive defense and control of any such claim subject to indemnification, but, notwithstanding Lessor ’s control of the defense of such claim, Lessee will remain obligated under this indemnity agreement. 11. Cooperation with Law Enforcement Agencies and Others Lessee agrees that Lessor may cooperate with law enforcement authorities and/or injured third parties in the investigation of any suspected crime or civil wrong attempted or perpetrated by using, or attempting to use, the Numbers . 12. Access by Lessor Lessee agrees that it may be necessary for Lessor to examine any and all portions of the service provided pursuant to this Lease and to cooperate in such investigations. 13. Compliance with Laws The Numbers may only be used for lawful purposes. You agree that your access to and your use of the Numbers is subject to all applicable federal, state and local laws and regulations. 14. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _____________________. 15. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when sent by certified mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 16 . Mandatory Arbitration Notwithstanding the foregoing, any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 17. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 18. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 19. Assignment of Rights The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party.
