RESOLUTION OF INTENT TO GRANT TAX EXEMPTION The Board of Supervisors next took up for consideration the agreement to extend ad valorem tax benefits to , L.P. After a discussion of the subject, the following Resolution was introduced in writing, read and discussed:RESOLUTION OF THE BOARD OF SUPERVISORS OF COUNTY, MISSISSIPPI, AFFIRMING AND ADVISING , L.P. OF ITS INTENTION TO GRANT AD VALOREM TAX EXEMPTION FOR TEN YEARS AS PROVIDED BY SECTIONS 27-31- 101, ET SEQ., MISSISSIPPI CODE OF 1972, AS AMENDED; AFFIRMING AND ASSURING PISGAH PARTNERS, L. P., OF ITS INTENTION TO GRANT AD VALOREM TAX EXEMPTION FOR TEN YEARS AD PROVIDED BY SECTION 27-31-7, MISSISSIPPI CODE OF 1972, AS AMENDED; AND AGREEING TO APPROVE APPLICATIONS OF PISGAH PARTNERS, L.P., FOR SUCH EXEMPTIONS UPON TIMELY SUBMISSION OF APPLICATIONS. WHEREAS, , L. P. (the "Partnership"), is a limited partnership in good standing under the laws of the state of Mississippi; andWHEREAS, the Board of Supervisors of County, Mississippi, acting for and on behalf of County, Mississippi (the "County"), does hereby find, determine and adjudicate that:1.The Partnership engaged in negotiations with the Board of Supervisors regarding undertaking a plan to situate a new industrial enterprise in the County;2. As part of such negotiations, and as an inducement to secure location of the new industrial enterprise in the County, the Board of Supervisors, among other things, committed and expressed its intentions to grant unto the Partnership, the exemptions from ad valorem taxes under Sections 27-31-101, et seq. of the Mississippi Code of 1972, as amended (the "Code") and Code Section 27-31-7;3. It is in the best interest of the County and its citizenry to exempt certain property comprising the new industrial enterprise from ad valorem taxation for ten (10) years as provided by Code Section 27-31-101;4. It is in the best public interest of the County and its citizenry to exempt from ad valorem taxation for a period of ten (10) years, as provided by Code Section 27-31-7, certain manufactured products owned by or remaining in the hands of the Partnership and located within the County;NOW, THEREFORE, BE IT RESOLVED, by this Board of Supervisors of the County, as follows:1. That this Board of Supervisors hereby finds, determines, and adjudicates that the Partnership's new industrial enterprise is a manufacturing, processing and refining enterprises within the meaning of Code Section 27-31- 101, and as such is eligible for the ad valorem tax exemptions provided for therein, and that this Board of Supervisors has in good faith negotiated with the Partnership as to the exemption of the Partnership's new industrial enterprise from certain ad valorem taxes; 2.That this Board of Supervisors hereby affirms and assures the Partnership of the County's intentions to grant ad valorem tax exemption under Code Sections 27-31-101, et seq., and does hereby express its willingness, commitment and obligation to exempt all property comprising the Partnership's new industrial enterprise from ad valorem taxation for ten (10) years, as provided by Code Sections 27-31-101, et seq.;3. That this Board of Supervisors hereby affirms and assures the Partnership of the County's intentions to grant ad valorem tax exemption under Code Section 27-31-7, and does hereby express its willingness, commitment and obligation to exempt from ad valorem taxation for a period of ten (10) years, as provided by Code Section 27-31-7, certain products manufactured and owned by or remaining in the hands of the Partnership located within the County;4. That this Board of Supervisors hereby agrees to approve applications to be timely submitted by the Partnership requesting that:a.All property of the Partnership used in or necessary to the operation of the Partnership's new industrial enterprise which is eligible for exemption shall be exempt from all ad valorem taxes for ten (10) years as provided by Code Section 27-31-101, et seq.; andb. Products manufactured by the Partnership which is owned by or which remain in the hands of the Partnership, located within the County, be exempt from ad valorem taxation, as provided by Code Section 27-31-7, for a period of ten (10) years.SO RESOLVED, this the day of , 20 . ___________________________ , PRESIDENT ATTEST:_________________________CHANCERY CLERK
