Sales and Consultant Agreement with Jewelry Artisan Agreement made on the ___ day of __________, 20___, between __________________

referred to herein as Consultant, and, ________________ of ____________________________ (street address, city, county, state, zip code), referred to herein as Artisan. Whereas, Artisan is an artisan and artist who designs and creates fine jewelry; and Whereas, Consultant is an image consultant for various clients who have requested
Consultant’s assessment of their wardrobe with regard to jewelry; and Whereas, Consultant desires to promote and sell jewelry designed and created by Artisan
to his clients; Now, therefore, for and in consideration of the mutual covenants contained in this
agreement, and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties agree as follows: I. Term of Agreement The term of the Agreement created shall be for a period of (time). II.Delivery of and Title to Jewelry The jewelry will be delivered to Consultant for the purpose of promoting the sale of said
jewelry to Consultant’s clients and title to said jewelry shall remain in Artisan until Artisan gives
a bill of sale to either Consultant or the client of Consultant. Consultant will give Artisan a
receipt for such jewelry in the form as shown in Exhibit A attached hereto.
III. Return of Jewelry
Said jewelry shall be returned by Consultant to Artisan within ___ days of a written
request by Artisan to Consultant delivered to Consultant’s address as set forth above.
IV. Loss or Damage
Consultant agrees to return said jewelry to Artisan in good condition. Consultant shall be
liable to Artisan for any loss or damage resulting to such jewelry from fire, theft, or any other
cause whatsoever. V.Commissions As full compensation of the services of Consultant, Artisan shall pay Consultant ___% of
the sales price of said jewelry during the term of this Agreement. The commission shall be paid
to Consultant within ___ days of such sale.
VI.Consultant’s Expenses
All expenses for traveling, entertainment, office, clerical, and general selling expenses
that may be incurred by Consultant in connection with this Agreement will be borne wholly by
Consultant.
VII.Independent Contractor Status
The parties intend that Consultant be an independent contractor and not an agent or
employee of Artisan. Artisan is interested only in the results obtained under this contract. The
manner and means of handling sales shall be under the sole control of Consultant. None of the
benefits provided by Artisan to employees are available from Artisan to Consultant.VIII.Insurance Premiums and Taxes Consultant shall insure against loss by fire or theft all jewelry delivered on consignment
to Consultant pursuant to this Agreement. Artisan shall pay all personal property taxes levied on
consigned jewelry, or shall pay such tax as may be levied in lieu of a personal property tax. IX. Compliance with Laws Consultant agrees to comply in all respects with the laws of any state or states in which
Consultant does business and both parties agree that the enforcement and interpretation of this
Agreement shall be governed by the laws of the State of ___________. X. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration
of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one
arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall
arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
