Sure, I can address tax issues for a domestic corporation; domestic LLC (formed in a particular state in the United States); or a foreign corporation (formed outside the United States). Here, I am assuming the above entities have non US officers/members. And, a non US individual represents the responsible party for the entity. However, Treasury does not have a physical presence test as the company may use a foreign address.First, an Employer Tax Identification number (“EIN”) and Tax Identification number (“TIN”) represents two different names for the same number. Here, we are dealing with a nine digit number issued by the IRS for the above three entities.The company requires the number for filing any documentation with the IRS (Section 6102(a). Also, a bank requires such number for opening a company account.If the company’s responsible party (officer/managing member) completes the EIN/TIN directly with the IRS, the individual requires his/her own personal US individual tax identification number (“ITIN”) based on a recent tax law change. This fact represents a new issue as non US officers/members may live outside the US and the individual may not currently have such number. And, the ITIN has its own set of requirements (Section 6109(i)).However, a tax representative may obtain the TIN/EIN for the company if the company’s responsible party individual does not have his/her own personal tax identification number (IR-2019-58 released date 27 March 2019).
