Finder’s Fee Agreement regarding Real Property Sales Agreement made on the       day of       , 20       , between       of       , (Name of John Doe ) (Street Address)       , referred to herein as the Finder, and Acme, Inc. , (City, County, State, Zip Code) a corporation organized and existing under the laws of the state of       , (Name of State) with its principal office located at       , referred to (Street Address, City, County, State, Zip Code) herein as the Company. For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Finder understands and agrees that he is working as an independent contractor at his own expenses and risk in order to find information about Real Estate properties such as the property address, names of owners or owner contact information and to submit them as Leads to the Company. 2. If such Lead is not known to Company nor listed with a Real Estate broker yet and results in a purchase with either Company or Company’s assigns, the Finder will, in consideration for his efforts receive a $       Finder’s Fee from Company upon completion of the purchase transaction. 3. Said Finder’s Fee shall be due and payable in full by Company at such time as a Purchase Agreement between the Company or Company’s assigns and the owner of the Real Estate is executed. 4. Finder understands that the Company is under no obligation to purchase from any Leads that may be introduced to the Company by the Finder. 5. Finder understands and agrees that he will only provide information such as owner names, property addresses or contact information to Company. Finder will under no circumstances discuss the details of any transaction nor provide any services that would require a Real Estate license. 6. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of       . (Name of State) 7. Mandatory Arbitration. Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, Finder’s Fee Agreement Page 1 of 2 each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 8. Entire Agreement. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 9. Modification of Agreement. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 10. Compliance with Law. In performing under this Agreement, all applicable governmental laws, regulations, orders, and other rules of duly-constituted authority will be followed and complied with in all respects by both parties.
