But a couple of caveats:If the diligence issue that surfaced is such that the company is materially impaired, maybe you do need to reprice the 409(a) — downward! For example, maybe accounting anomalies were discovered, and the revenues aren’t really what they were previously stated to be. Or perhaps something has critically impaired the company’s ability to raise funds before its cash runway runs out. In that case, consider the need for a new 409(a).If multiple term sheets were received and there is a near-term (rule-of-thumb: within the calendar quarter) expectation of a new investment with a different investment lead, then some people would argue this triggers a change in the valuation. I’d say the conventional wisdom here is that “the deal isn’t done until it’s done” and hence no new valuation is necessary until the new round actually closes. But, this is a facts-and-circumstances-based determination, and a good topic for discussion with your tax counsel and corporate counsel.
