going to give you this confidentiality agreement it's NDA which can be very very useful for it for you it's not necessarily needed on the inventors journey you could just use it for personal use basically the way disclosing your invention works and this is very very important if you just come up with invention you don't know about this stuff and especially if you're based in America in certain places like America you can talk to people about your invention or even disclose it publicly maybe on the web and you get what's called a 12 month grace period and even after you disclose it publicly you still got 12 months within which you need to file a patent application in order to move forward with that if you don't file a patent application within 12 months of disclosing then you're going to lose the right to patent your invention but in the UK Europe and most other territories aside from the US it's actually even more brutal than that and if you were to let's say put your invention on the web or disclose it to people publicly without confidentiality in place which is what artists this document is gonna do for you then you would instantly lose your right to patent your invention because in the UK and Europe we have a brutal first to file patent system and if you disclose your invention to people publicly or on the web that is now taken as being a public disclosure and your invention is now considered by let's say the UK Patent Office to be non novel and because it's non novel and not new it's out there you can't patent it so one of the ways around that is to disclose to me I've used it on my own inventions for other people I disclose to I think it was originally used by patent attorneys and the great thing about this NDA is it's only one page long so it's very very compact so it's really no hassle for people who you send it to to just print it off as one page sign it scan it back and get it back to you and it's very well written as well I think was originally used by used by patent attorneys so let me just go through how you're doing this by the way if you're on a Mac this will open up on pages on a Mac it'll of course I've got to open on word which you can get for Mac or PC but it'll open up either way so at the top we've got the date obviously that's quite important the date you're gonna fill out here right at all you got this red text type date here obviously just delete type date here and just type you know it could be their 21st of March 2020 or whatever it is you know the date that you're filling this out and you'll put that at the top here parties the donor the donor is you that's why I put your name here type your name in so again delete this your name here all this red stuff and just hold on a second didn't mean to do that back though that was what you do you delete that and then you put your name if your name is John Morris you would put John Morris the recipient and your the donor by the way cuz you're the donor the giver the person who's giving this confidentiality agreement to someone so you're the donor the recipient is the person you're disclosing to so I put here name a party you're disclosing to here and that could be a person that might be Jim something or other or it might be a whole company with lots of staff so you might put something something limited and all the staff members thereof or all staff members of something something limited right so it's a party it could be an entity could be a company could be individual could even beast well it probably won't be several individuals cuz you might send an NDA separately so that's what you put in here next thing you invention name + field of your invention you can go through this NDA if you want read through it I think as you'll find out it's really really solid just got these really good causes what's really cool about this NDA from your point of view by the way is that not only does it protect you on what you tell them about your invention but there's also cause in here you'll see it says anything that they derive from the invention is also confidential so let's say you disclose your invention and they come up with a new inventive step or concept based on your disclosure well they can't disclose that to anyone either so you're protected on that as well so it's a really really good tool NDA in terms of the name and the field of your invention well let's say my invention dish shine in next generation polisher I would just put because this is where it talks about what you're disclosing so I would just put dis shine next check common next generation shoe polisher if you haven't got a name for your invention like dish line you don't need to have a name you would just put generically what it is so I would put something that handheld shoe cleaning device or next generation shoe polisher anything general like that obviously what you don't do here is explain what your inventive step or concept is because of course they're gonna see this before signing it so you just give a generic kind of title almost saw field of your invention rather than specifying what the actual special inventive thing you've come up with it so yeah dish I next-generation shoe polisher would be fine floor cleaning apparatus accessory something like that right whatever the general field is that's what you do they're signed by the donor this is where you sign this would be where you sign here and signed by the recipient of course the recipient will be the person you send it to and they would sign so you could just send this straight off and basically just get their signature and they would sign here obviously they print this off sign here and then scan it back in and email it back to you so I hope that's kind of made it
