Today's video addresses when to use the form "Notice of Buyer's Termination of Contract" or more specifically, when not to use it. I've received several questions and copies of Notice(s) when paragraph 8 of the form has been filled in by the Buyer. Paragraph 8 is "Other." It is a little like Paragraph 11 Special Provisions of the Contract - statements get inserted which are often ambiguous, have unintended consequences or have no consequences. The Notice of Buyer's Termination is only necessary when the Buyer is given the right to terminate the contract either under the option period or based on a contingency not being met such as Buyer Approval, Property Approval, delivery of Seller's Disclosure Notice, curing of title objections, Buyer's sale of other property, delivery of Subdivision Information etc. These are rights which are clearly set forth in the contract giving the Buyer the opportunity to terminate the contract, receive a refund of the earnest money, and be freed of any further obligations by electing their right to terminate and giving notice to Seller. Most of the rights that are specified in the contract are covered specifically under items 1 through 7 of the Notice. Paragraph 8 of the Notice is for use when Buyer is terminating the contract based on other, infrequently used rights given Buyer in the contract. Examples these rights are Buyer's rights to terminate for failure of Seller to provide the appropriate statutorily required notices set out in paragraph 6 E of the contract - i.e. notices of a statutory tax districts, notice of tidewaters affecting the property, notice of annexation, notice of PIDs, notice of Transfer Fees, etc. Another example of Buyer's right to terminate that is rarely used falls under paragraph 7E of the Contract. This is Lender required repairs and treatments, neither party is obligated to pay for those. But if one party does agree to pay then no one has the right to terminate the contract, provided however, if the cost of Lender required repairs would exceed 5% of Sales Price, then Buyer has the right to terminate even if Seller agrees to pay for them. I call this the lemon factor. Paragraph 8 of the Notice would be used for Buyer to terminate the contract under any one of these provisions. A written notice of termination from Buyer to Seller is not necessary if Buyer and Seller for whatever reason have mutually agreed to terminate the contract. In this case a simple release of contracts signed by all parties is the form to use. I have seen language in paragraph 8 of the Notice that reads "Buyer is no longer relocating to the area and therefore Buyer is terminating the contract. The contract does not give a right to terminate for this reason. In such a case, a Notice is not required nor is it effective.
