maryland heritage areas authority or mhaa grants are required to complete once you complete a corporate resolution for the mha program it will be in effect for three years and you won't need to complete another if you get another grant for example in a subsequent year within that three year time period and the purpose of the corporate resolution is that it establishes for mhaa which officers of your organization or employees of your organization are permitted to sign official documents including the mhaa grant agreement that you'll also be completing as part of the process and so basically it establishes signatories that will act on behalf of your organization and the secretary or another appropriate title treasurer for example of the board signs to certify that the board met or that the board convened virtually and that they agreed upon the clauses of the corporate resolution and so the secretary really is witnessing that this happened and so they sign the corporate resolution to witness and they also list there on the form at least two other people and those two or more individuals that are listed as signatories they don't have to sign at all their names just get listed and the secretary or the other appropriate title is the one signing confirming that this board meeting and decision took place now if the secretary of the organization if you'd like for them to be one of the official signatories and their name to be listed then they cannot also sign and witness you have to have a separate board member who is serving as what's usually the secretary main signers you don't want to review and sign the corporate resolution you actually want to delegate it to the secretary or that other officer and so you'll go down here and where it says delegate and so you click on that and it'll bring up a form like this where you would enter in their email address and you could enter in a message for them saying i'd like for you to be the one who signs and witnesses and these people should be the signatories as we talked about at the board meeting something like that and then you would click delegate and it keeps everything in the adobe sign world so we know who's delegating to who and what their official email addresses are and it keeps it very official rather than just forwarding it but i don't actually want to delegate this because i want to show you what you would do if you were in fact the person who is going to be like the secretary signing and witnessing so instead i'll just click out of this tab here and back in this main email here so let's say you've it's either been delegated to you or you are that person who's going to witness the decision you are acting as the the secretary usually and so you'll click review and sign and it'll bring up the document it'll show you again those same instructions here on the side if you want to reference them so because you are the person who has clicked on review and sign and adobe sign knows what your email address is and that you're the person doing that it already has your name listed here as the secretary of the organization and you would see your organization name here rather than than this and then down here where you actually need to complete a field they would like you to list the date when um when the board meeting took place either virtually or in person and this decision was made so i could put in something like that it took place on november the 5th and then you would go down here of course you want to make sure that the board actually agrees to all of this and that the meeting actually took place that's important too and that those board members did in fact decide who they wanted to name as signatories so let's just do some example names and you would put their title and you need to list at least two people who are going to be serving as these signatories i'm just making this um up completely and let's say one of them is the executive director and one of them is the board president so you've got these people listed here they're going to be serving as the signatories one of these folks is going to be signing your grant agreement and one of these people cannot be you you cannot be listed here as a signatory and also be signing to witness this and so right here you'll put in the date that you're signing so it was the fifth day of november 2020 all right and then you're going to click to sign here when you're ready to do that you're the person who needs to sign and it even brought in my signature that i have used before but i actually want to show you all the options so usually when you click on that if you don't have a signature that's already stored it'll bring you to these different options that i could type in by name but it's still certified that i'm the person who signed because i'm the person who's who's received this email i could draw in my name so let i'm just gonna you know draw in a signature there that's not my real one you could use an image of your signature that's stored on your computer or you could even send yourself a message that will then allow you to sign the screen on your phone and upload that signature so you just put in your number right there if you and hit send if you want to do that either way so i'm gonna use this little drawn signature here and say i clicked apply and so now my signature is showing up here and to finish this whole process all i have to do is click right here where it says click to sign so before you do that just give this a double check and then you click to sign and as soon as you click you should see a message like this just saying that you are all set you've actually signed the document and that document has already been transmitted back to us when you clicked sign so you don't need to email it to us or anything like that it does give you an option right here to download a copy of what you just signed so i'd encourage you to do that so you have have that on
