will talk about substantive provisions under the trade marks act 1999 relating to assignment and transmission of redmond in the second lecture we will cover procedural and practical part of this topic if you don't know what assignment transmission or licensing means please pause this video and first see our lecture on assignment transmission and licensing of copyright under the copyright module so section 37 to section 45 of trade marks act make provisions concerning assignment and transmission of trade map being a species of property right in a trademark is licensable assignable and transmissible as any other right in a property it may pass to a successor on the death or bankruptcy of the owner or amalgamation or merger of two enterprises it must be noted that while in the matter of licensing the right in the trademark continues to be with the proprietor in assignment there is a change of ownership of the trademark now instead of going through the provisions of the statute I will be explaining you the simplified version of the same in the form of ten simple rules thus for better understanding I request all of you to at least read section 37 245 of the trade marks act after this lecture so let's start understanding these rules so rule number one which is contained in the section 37 states that a registered proprietor can assign a trademark and give effectual receives for any consideration received under such assignment the second rule contained in the section 38 provides that a registered trademark is sigh Noble or transmissible with or without goodwill in respect of all goods or services or in respect of some goods or services for which it is registered at this juncture it is pertinent to note that article 21 of trip sacrament also mandated that the provided under section 41 the sixth rule contained in the section 42 provides that the assignment of crema without goodwill of business will not take effect unless assignment of beans directions of the registrar and advertise the assignment as per the directions and follow the other prescribed rules the seventh rule provides that the assignment of certificate trademark can only be done with the the validity of the assignment is in dispute the Registrar may refuse to register until the rights of the parties are determined by a competent code this rule is provided under Section 45 subsection 3 rule number 10 states that until an application has been filed by an assignment on legal representative for being registered as a proprietor of the trademark such assignments or transmission will be
