My ex drained our accounts and slowly added them to his trusts. I didn’t know about these trust funds and silly me, I actually shared my inheritance with my ex.Banks should be required to get real signatures and people should have to appear before a mortgage company or bank when mortgages or loans are aquired. My ex e-signed for mortgages on our home without my knowledge or consent and then had his secretaries notorize these mortgages that I knew nothing about.Banks should be required to keep records on accounts and checks for a longer period of time. By the time I found out about his theft of my stocks and parents stocks, it was too late. I was told that the financial information was no longer available.It should be easy to find out if a spouse has bank accounts. It is impossible to get any information without a court order. I don’t mean that they should have to disclose what is in those accounts but just to verify if accounts are held in that person’s name and social security number.If stocks that were in one spouses name suddenly appear in the other spouses name, that should be a red flag for the courts.I’ve heard of people tricking their spouses to get them to sign over assets. It should be illegal for one spouse to own everything even if they show papers that say it does. How do start-up founders protect their idea from being stolen by early employees/friends? Are there any legal protections? Or is
I started my company with two co-founders: Jim and John (not their real names). I was the CEO, Jim was the marketing guy, and John was the engineering guy.We had worked together previously, and we understood the plan and direction we were going in. We started pitching VCs after working on the plan for about three months.John didn't understand my value. John convinced Jim that they didn't need me. They quit the night before we were going to get funding.I will never forget the last conversation I had with John. John said to me, "I know more about building a company than you do."This royally pissed me off for obvious reasons.I regrouped.I recruited other people to cofound the company with me, and we started raising money.We quickly heard from some of the VCs we were meeting with that there was another group with a similar plan:John and Jim formed a new company built around my vision and plan. I am certain they thought they had left me for dead.One VC even showed me their slide deck: the bastards were using my slides!We lost a couple of potential investors because of Jim and John. We persevered and raised $12M Series A funding.Jim and John never got funded. Their company never went anywhere.The bottom line is it may be easy to steal your idea, but it is very difficult to steal your vision.Your vision involves so much more than a basic business plan.Your vision involves all of your knowhow, knowledge, and understanding. That's what makes you unique. And that's what allows you to persevere when someone steals your idea.There's a lot of things you learn when you start a company, and one of them is:Founders leave companies before they are founded.There were five founders (including me) in my company. Pete didn’t make a nickel from being a member of The Beatles until 35 years after he left the band.HarvardConnection: We all know the story from the movie, The Social Network, about how Mark Zuckerberg allegedly stole IP from the HarvardConnection team to start Facebook. The founders of the HarvardConnection netted millions based on the their settlement with Facebook.I think we’ve pretty well established that founders leave companies.And sometimes those founders steal intellectual property.What can you do to protect yourself?Here are eleven conventional and maybe unconventional ideas to protect yourself:A. Have all Founders (and Future Employees) Sign a Proprietary Information And Inventions Agreement. The PIIA is a standard agreement that most employees sign when they join a new company. Have everyone, including yourself, sign one once they become part of the company. The PIIA is an insurance policy for you (and a reminder to your ex-employees) that ex-employees are legally bound to not steal information. You can find example PIIA's on line.B. Obey the Nine-Month Rule. Or maybe we should call it the three-month rule. All relationships go through phases. And your co-founder relationships will go through phases too. You will go through the honeymoon phase for the first three months or so. Don’t launch anything until you are through this phase. Months three through nine are where the conflicts arise and motivation wanes for some. So…C. Talk Through the Key Issues Early. Make sure you and your co-founders are in basic agreement about the strategy, recruiting, and funding needs of the company. Remember…D. Don’t assume conflicts will resolve themselves. Many won’t. In fact, the conflicts are likely to get worse. Talk things out and see if you can work together. Then...E. Don’t try and stop a founder from quitting. This may seem harsh, but you are best off letting the founder leave. Why? The founder is likely to quit again. It’s painful to lose a key person so early, but you will survive it. And…F. Remind the co-founder who is quitting they are privy to proprietary information. They will not like it, but it’s a not so subtle reminder that you are watching. That’s why it’s important to…G. Make sure your equity agreements have stock vesting over a four year period, preferably with a one-year cliff. Let’s say you have two cofounders and each of you have 33% ownership of the company. Have a vesting agreement for the stock, so you haven’t just given 33% of the company to someone who has just left. And...H. Get rid of your bad apples. Sometimes things don’t work out. It’s normal to have let a founder go. The other employees will be relieved that you took action. Just handle yourself with class and grace when you do. And…I. Move fast. Okay, a cofounder quits and starts his own company with your stolen IP. Short term, there’s nothing you can do except move quickly to get yourself to market. In other words, you should be doing what you are already doing. One more thing...J. Don’t bother suing because it’s a waste of time. It pisses you off that there is someone out there who stole your IP and is attempting to make money with it. I’ve been there, but suing is just a waste of energy and money because the other side typically has no money and no assets to go after. The best thing you can do is kick their ass in the market place. However…K. Sue them if they succeed and you don’t. You have the PIIA agreement and a lot of evidence. And there is a lot more money at stake.I know what you’re thinking: This sounds like a lot of extra work and possibly money.Yes it is some extra work. You can find many of the agreements online. The one that I’ve seen burn people time after time is equity:Equity (including your equity) needs to vest over time!I am not a lawyer (even though I’ve been accused of being a rather good jailhouse lawyer), but I strongly suggest that you have some agreement stating that the new founder or employee’s equity will vest over a four-period. The first 25% will vest after one year, and the remainder will vest on a monthly basis over the next three years.It doesn’t need to be complicated. Just remember that founders leave companies. I just wish they would bite the bullet and legalise it properly. Put it into the same stable as alcohol and tobacco, both of which are recreational substances that can cause damage and if overused are very harmful.My view is that people are adults, and provided they have the information about medical harm, effects etc. then they should e able to make up their own minds.Take alcohol for instance - you shouldn't drive, operate damgerous machinery, or sign legal documents while intoxicated (sending emails and texts to your boss while pissed is not a good idea either), if you drink excessively you run the very real risk of cirrosis, digestive issues, obesity and mental health issues.Alcohol is highly addictive, has little if any good health benefits and makes you act like total dick if you don't control your drinking. It contributes to domestic violence, child abuse and neglect, spontaneous violence, suicide, low educational achievement, financial problems, sexual offences and bad breath.It costs countries eye-watering amounts of money in terms of medical costs, policing, social problems.But it is VERY legal, actively marketed, and contributes billions in the tax take every year (but probably not enough to offset the costs). It employs thousands of people in the brewing and distillary industries, hospitality and marketing.I am opposed to that being prohibited, but I rarely drink.How about tobacco? It causes a host of diseases, costs a fortune, can cause secondary health problems for family members, co-workers and anyone else in the vicinity, It causes domestic fires and sets a poor example to the next generation. It contributes to crime and tax offences, leads to smuggling and burglary. It is also habit forming.Again it is legal, taxed heavily, marketing is being restricted but it is still there, and again employs a lot of people.I am opposed to that being prohibited but I've never smoked in my life and hate the smell of it.You could make similar arguments about gambling, extreme sports, binge eating, caffeine or online gaming.Now to cannabis (what is the correct name by the way, cannabis or marijuana?).It intoxicates, costs money, is detrimental to your health.Does it lead to crime? Yes, because it is illegal, so possessing it in various places is a crime, and growing and producing and distributing it definitely are.Does it cause long term mental health problems - yes, probably it does if you binge on it, so do alcohol or anti-depressants if they are abused.Does it lead to public disorder and violence? - Not particularly, I would much rather walk past a group of 10 people stoned of their collective faces but would be reluctant to do the same past a group of 10 drunken lads.Drink driving verses drugged driving - both are poor choices, the only issue we have at the moment is that it is fairly easy to test for excessive alcohol intake, but I am not aware of any easy to administer tests for cannabis. Maybe they'll come up with one.Again health issues - it is said that the strength of cannabis has been increasing with selective breeding - a bit like tobacco I suppose. If it were fully legalised, then quality control could be properly exercised. If a manufacturer turns out some suspect quality cannabis, currently there is no comeback other than a consumer boycott, which isn't a realistic prospect for a local cannabis supplier at the moment. There are always new fishheads that will join his customer base.But if this were a mainstream manufacturer that let a duff batch through, deliberately or otherwise, then action through proper standards agencies can be taken, and public health can be protected.You wouldn't have people skinning up at work because employers have policies about that already, and it wouldn't be any different to drinking alcohol at work - a sure way to the unemployment queue.Would it increase or reduce domestic violence or child neglect? - might not have much of an impact either way, or possibly reduce it a little if people switch from necking loads of beer to having a few joints instead. I don't really see it increasing the problem.It has been claimed it is a gateway drug to other substances - Currently it might be, but only because the guy you get your weed from also has access to amphetamines, cocaine and heroin, and it is lucrative for him to get you on those as well. And drug suppliers are not limited by advertising standards or product misdescriptions.Take it away from them and let people buy it in the same place they get their beer and fags from and dealers have a more difficult time snaring punters.I have dealt with plenty of heroin addicts who's gateway to it was their parents, or alcohol, or their loser mates. And I do sometimes ask them how they got into it (not scientific, but interesting all the same).Other benefits would be a steady reduction in the prison population, which will save public funds and reduce people's difficulties in getting employment (because they are no longer having to declare themselves as convicted offenders).It would be fantastic if we could try it as an experiment somewhere, and see how things pan out after a couple of years, but that isn't going to happen, and if it did the place would be flooded with consumers wanting to take advantage of the new regime which would skew any data. Besides I doubt there any politicians that want to commit political suicide by proposing it. Too many middle-aged and older voters would punish them for it. My dad for one, he doesn't hear the logic of the argument, he just hears the word drug and that is that. Strangely he doesn't feel the same about alcohol - as he settles down for the evening with a few beers.Of course, this is just my opinion.Oh, and I have never tried cannabis and never intend to.
