[Music] okay so in this video I'm going to give you a brief intro on the basics of how to set up an LLC in a state again we're going to use California the state I live in as an example all of them are fairly similar I will have a list below it will have links to every single state LLC page so whatever state you live in it'll have a link you can click right over to it and get started with setting up an LLC in your state now to get to this if you want to do this yourself just type in LLC in California or LLC in whatever state you live in and it should come up it'll be a official government page you can see I clicked this in and a large percentage of these there was like four ads that came up first right here and you can use these companies if you don't want to go through this process of setting up your LLC again it's not that difficult it's actually fairly simple to actually set up an LLC yourself but if you don't want to do it you can pay these companies and they will make it even easier to set up an LLC but they will charge you you know anywhere from 49 to 150 bucks so keep that in mind but yes so anytime you want to see a.gov that's generally where you want to go this is where we want to go for here it takes us right to the limited liability company cup company filing tips all these tips are very helpful but I've already been here before I did this about three years ago so we want the articles of organization should be the same name in every state so we'll click on that it'll take us over to this page and right so basically it just lowers you down and then we click on this thing right here form LLC - one will click on this it'll take us over to this page and we want the information on a limited liability which one is a limited liability California domestic so what that means domestic is I'm filing an LLC in the state that I live in or the state that I'm doing business in if I was filing an out-of-state it would be limited liability companies foreign out of state or out of country so again if people are living out of the country want to do that they would do this one or if they're filing an LLC in a different state and you live in again I don't recommend if you live in a different state and you're trying to file and LLC in a different state I don't recommend you do that I'll go over that another video but we're going for domestic we would click on this right here then it gives you all these different forms to look at well basically what we want is the formation articles of organization and the statement of information this we don't need to do until 90 days after we file the LLC so we just need this right now but actually want to go down a little bit most state websites will have some type of business search so we're going to click on this right here and you can actually look this use this to look up other LLC's or corporations basically to determine if the name you want your LLC to be is already taken so you have to pick a name for your LLC and you can't you can't have LLC or LP in the name also basically whatever you want to name it like let's say California I don't know California logistics let's say that's what we named our business California logistics and so we'd search that under LLC to see if anyone has this name we'll search it up and you can see there's a bunch of other people that already have something close to it it gives anything that's close to it so you can see all of these right here jurisdiction tells other states as well so it's not just the state you're anything tells you all the states and it tells you the status like this thing has been cancelled this LLC doesn't exist anymore but basically we go all through here I don't really want to go through 50 plus pages but we'd see if this name already exists it probably doesn't so we could now use this name so we view California logistics and then when we fill out the form it would put the LLC at the end so it'd be California logistics LLC that would be our LLC but let's go back over here domestic and let's pull up this articles of organization page right here and it tells you all the information about this filing fee would be $70 certified copy fee if I want a copy of it would be $5 as well and then we can hit start right here and it tells you all this information basically it's pretty simple it'll just run you through the entire program pretty much holds your hands through the whole thing but yeah so I would just type in the California logistics just sticks and then I would pick up what I guess that is already taken so it won't let me do that so let's do I don't know let's do my last name is Shaffer logistic let's see if that is taken that is not taken so I could use that as my LLC and then you would pick whatever you want to be after the name so you can just be Shaffer logistics LLC Shaffer logistics LLC limited liability Co I like to keep it simple so I would just go with LLC and check the box if you have a reserved name I don't so I won't check that and basically I'm not gonna put in my address because I don't want people to come find me but basically you would just put in all of your your personal information your service of process right here so basically this part right here the agent is this is you if you want to have an agent so basically you can set up an LLC in another state if you do that you have to have someone what's called an agent living in that state to get all the information for you so like again if I set up a LLC in Delaware I would need a person living there so companies or anyone can send mail to that person and then they would forward that mail to me but that's not the case I'm living here personally so I won't be using a California registered corporate agent I'll just be an individual which is me I'm not gonna put in all this information right here basically you just put in your personal information if you're just doing it yourself but yeah that everything for that page management the LLC will be managed by one manager it's just gonna be me owning it you can do more than one so if you want to have multiple people owning the LLC you can do that I recommend if you want to form an LLC I recommend that you just do it yourself it's very complicated I mean if you set up an LLC let's say you and your friend want to set up an LLC right you have to determine what percentage owns the LLC so say you split it 50/50 which you never want to split a business 50/50 because if you guys ever you know you and your friend ever like decide you don't wanna be friends anymore you want to break up the business you both own exactly 50 percent is controlling the business that's very complicated so at least one person would need to own 51% and the other person owns 49% and then you need to pay out a percentage of what the the company makes to the people so one person will get 50% do one percent of the business income the other person 49% I highly recommend you just be the only person on the LLC that's what I do on I have two LLC's and that's what I've done on both of those so I highly recommend only one manager after that you'd have the organizer so this is just again if you want someone else to receive information about the LLC so anytime anyone wants to send information about the LLC they would send it to the organizer it's just gonna be me so I would just put in my personal information and my personal email here and then you'd go to the review and then you'd go to the payment and you'd put in all your payment information so that's the very basics of how you would set up an LLC in the state of California again like I said you just need to find your state websites I have links to all the states below and it will pretty much just run you through the whole program for you it will hold your hand so it's really not that difficult to do this whole process if you have any questions I'm more than happy to answer them so go ahead and leave a comment
